PROSPECTUS Of a Company to be called THE BENGER BURN GOLD MINING COMPANY (LIMITED). To be Registered under the Provisions of " The Companies Act, 1882." CAPITAL £8000, Divided into 8000 Shares of £1 each. Of which 3000 Shares, paid up to 15s per Share, will be allotted to the present Proprietors in fall payment of the Property which they propose to sell to the Company. The remaining 5000 Shares will be offered for subscription on the following terms :— One Shilling per Share on Application ; One Shilling per Share on Allotment ; the balance, as required, in calls not exceeding One Shilling per Share, to be made at intervals of not less than one month, directors : In pursuance of the provisions of " The Companies Act, 1882," the first seven subscribers of the Articles and Memoraadum of Association will be the first Directors of the Company, and will conduct the buAness of the Company until the first General Meeting, to be holden as soon as the capital is subscribed, when a Directory will be eltcted by the Shareholders. The objectß for which the Company is to be formed are :— To acquire for gold-mining and to mine upon a Special Claim of 16 acres 2 roods of auriferous land at and being Section 2, Block I, Ettrick. 1. The Special Claim which the Company is formed to work is situated at the junction of Benger Creek with the Molyneux River, 2. Many attempts have, during the past twenty-seven years, been made to work the ground by the old methods, and excellent prospects were obtained ; but the heavy inflow of water, aud the low level of the land, which rendered it liable to be Hooded at every rise of the river, prevented any systematic working. 3. From the gold obtained in past trials the land ia question is known to be very rich. 4. The Promoters of the Company can with confidence refer intending shareholders to all or any of the persons who have worked in the ground in former times, and also to Messrr. Kitto and party, Mr. A. Brazil, and Mr. J. C, Smith, of Ettrick, and others living in the neighbourhood, and to Messrs. W. Laurence Simpson and J. B. Borton, formerly Wardens of the District, now living in Dunedin, and Mr. J. Silverston, of Dunedin, fruiterer. Mr. Richard Kitto states that he and his party who worked part of the land never earned less than 20s a day per man, although they worked at a great disadvantage. 5. A contract dated the 12th day of June, 1890, has been entered into between the present Licensees of the land and Mr. E. B. Smith, as trustee on behalf of the Company, for the transfer to the Company of the abovementioned special claim in consideration of 3000 shares paid up to 15s, being allotted to the Proprietors in full payment for the property, The original contract may be inspected at the office of Mr. John Mouat, Solicitor to the Company, Princes street, Dunedin. No other contracts affecting the Company have been entered into. 6. It iB proposed to work the ground by means of a 6team dredge, estimated to cost about £3200. Very good lignite for steam purposes is procurable at Coal Creek, distant by about twelve miles by a good road, and c<m be delivered at tho dredge at a cost not exceeding 15s per toD. 7. The capital will be called up by One Shilling per Share on Application, One Shilling per Share on Allotment, and so much of the remainder as may be required by calls not exceeding One Shilling per Share each, made at intervals of not less than one month. 8. Provision will be made in the Articles of Association for the division of profits equally by the share, independently of the amount paid op. 9. The Share List will close as soon as the required number cf shares have been applied for. 10. The costs of preparing and registering the Memorandum and Articles of Association, and of transferring the property to the Company and brokers' commission at cunent rates wili be paid by the Company. 11. Attention is called to the fact that the shares to be given to the Promoters will only be considered as paid up to 15s per share, and after that amount is paid up by the contributing shareholders, all the shareholders will be on the same footing. 12. The Promoters have not thought it Deces6ary to procure any reports from mining experts, feeling euro that intending subscribers will be able to obtain reliable information from the gentlemen to whoa they axe referred,
