No. 1. THE SUPERINTENDENT OF OTAGO TO THE COLONIAL SECRETARY. Superintendent's Office, Dunedin, October 16 th, 1861. Sir, — In conformity with the 2nd cause of the "Otago and Sou Wand Public Debt Apportionment Act, 18G1." I have the honour to inform you that I have appointed Thomas Bannatyne Gillies, Esq., as arbitrator in behalf of this Province, and that he has consented to act on condition that the arbitration should take place at Djnedin, where all the records, maps. &c, connected with the past arc kept, and I have informed him that there is every prospect of so reasonable a request being complied with. On hearing from you in reply to this communication I will again communicate with Mr. Gillies. 1 have, &c, J. Richardson, Superintendent. To the Hon. the Colonial Secretary, Auckland.

No. 2. THE COLONIAL SECRETARY TO THE SUPERINTENDENT OF OTAGO. Colonial Secretary's Office, Auckland, 2nd November, 18G1. Sir, — I have to acknowledge the receipt of your Honor's letter dated 16th ultimo, 9tating that in conformity with 2nd clause of the "Otago and Southland Public Debt Apportioment Act, 1801,"you had appointed Mr. T. B. Gillies as arbitrator on behalf of the Province of Otago under that Act, and that he had consented to Act on condition that the arbitration take place at Dunedin. The Superintendent of Southland has not as yet notified any appointment of Arbitrator on behalf of that Province, but I will communicate with him on the subject. The place at which the arbitration should take place seems to be properly a question for the consideration of the Arbitrators themselves and the General Government has no power to interfere. No. 4. THE SUPERINTENDENT OF SOUTHLAND TO THE COLONIAL SECRETARY. Superintendent's Office, Southland, 22nd November, 1861. Sir, — I have the honor to inform you that I have appointed Francis Dillon Bell, Esq., M.G.A., to act as Arbitrator or behalf of the Province of Southland under the provisions of the " Otago and Southland Public Debt Apportionment Act, 186' i." I have, &c., J. A. R. Mknzies, Superintendent. The Hon. the Colonial Secretary, Auckland.

Mcncrandum. Copies of the preceeding letters, viz:—Superintendent Dunedin to Colonial Secretary, dated 16th October, 1861; Colonial Secretary, Superintendent, Dunedin, dated 2nd November, 1861; Colonial Secretary to Superintendent, Southland, dated 2nd November, 1861; Superintendent, Southland, to Colonial Secretary, dated 22nd November, 1861; were transmitted to Messrs. Bell and Gillies in a letter dated 3rd January, 1862, but in consequence of the loss of the letter book in the wreck of the •' White Swan," a copy of that letter cannot be furnished. ,

Sir,— I have the honor to acknowledge the receipt of your letter of the date quoted in the margin, reporting that your Honor had appointed F. D. Ko. 7. AWARD. We, Thomas Bannatyne GiUies, and Francis Dillon Bell, the Arbitraors duly appointed under the " Otago and Southland Public Debt Apportionment Act, 1861," to apportion between the, Provinces of Otago and Southland the principal of the Debts specified in the schedule to the said Act, having heard the Superintendents of the said Provinces on behalf of their respective Provinces; and having taken evidence in reference to the matter referred to us by the said Act; and having taken into consideration all the circumstances which have come or been laid before us, do hereby award and determine as follows:— 1. The principal sum of £81,000 (being part of the sum of £50O,O.)0 raised under the " NewZealand Loan Act, 1856,") charged upon the Provincial Revenue of the Province of Otago shall be apportioned and borne as follows, viz:— By the Province of Otago £63,000 By the Province of Southland £18,000 Total £81,000 —which apportionment shall take effect as in the said Act provided. 2. No part of the Debenture Debt specified as number 2 in the schedule to the said Act, shall be borne by the Province of Southland but the same shall be wholly borne by the Province of Otago. iven under our hands at Wellington the twenty eighth day of August one thousand eight hundred and sixty-two.
