For the purpose of carrying out and giving effect to the foregoing resolutions or any of them, the Directors of the said Company shall have full power to appoint by deed, an Attorney or Attorneys in New Zealand, or elsewhere, to act on their behalf and carry out the foregoing resolutions, or any of them, and the said Directors shall have full power to delegate to the said Attorney or Attorneys all the powers and authorities of them the said Directors in relation to the matters referred to in the foregoing resolutions, whether such powers are conferred upon the said Directors by such resolutions or otherwise.
