Chriatohurch, (hereinafter called the Vendor Company) who^e operaliona have been t attended with great success ; the Shareholders ' having received dividends for the last eighteen months at ihe rate of 20 per cent per annum, after allowing for bad and doubtful debts, ' and carrying forward undivided profits ' amounting to £1,229 I6s 3d. Owing how- ' ever to the steady expansion of buaiuesa, it is found that tho present capital ia altogether '. inadequate. Tho Vendor Company has power under its . Articles of Association to increase its capital, but after careful consideration it has been determined not to adopt that course, os being ' unfair to its Shareholders, some of whom upon their one pound shares paid a premium r of 15s, consequently if the capitol wero increoaed by mere allotment of additional | shares theso premiums would necessarily bo \ lost. ; It has therefore been decided to form o ■ New Company upon the following terma r — The Vendor Company to receive tbe sum ' of £2000 in cash, and in coneMerution of this sum, will transfer the whole if its current buaineßS, aecuritiea and contracts. \ Tho new Company will immediately acquiro business which even if not increased will ensure a dividend on the capital proposed to be called up (£25,000) of 10 per cent per annum, after providing a fund to meet bod J and doubtful debts. But from present apj rearances there is every reason to believe that within a short time the business will bo quadrupled. ' Tho exit-ting Securities, amounting to £39,527, havo heen carefully gone into by ' two gentlemen of wide ond varied practical experience (Mr 0. Wbitefoord, R.M., ond Mr It. J. Holi, aheepformor, of leeston and 1 Motunou) whose report, of o most satisfactory character con bo perused by intending applicants for shores, at tho offices of tho Company's broker. The Vendor Company will bear ono-half tho expense incurred in transferring the existing securities to tho now Company. Tho following agreements hove been made, dated 15th March, 1889, which can be seen ot the offices of the Company's solicitor, and subscribers for Shares will bo deemed to hove notice of tho contents thereof, namely ; — (1.) Between the Vendor Company of tho ono part and Thomas Walter fctrlnger on behalf of the new Company of the other part, for the sale ond purchase of the business os aforesaid. (2) Between the Vendor Company and James Henderson and Thomas Walter Stringer, on behalf of the new Company re Brokerage Feoa. No application for less than Ten Shores will be entertained, and if no allotment is mode the deposit will bo returned without deduction.
