To the Governors of Nelson College,

On the occasion of nr/ second visitation of the College, I am glad to fin d that proper deeds have been executed for the endowment of the scholarships founded by Messrs. Richmond, Fell, Newcome, and Stafford; and I trust bhe Governors will at the earliest convenient time appropriate and invest the necessary funds for carry tag out tho trusts contained

herein. . I hope speedily to receive a series ot by-laws lor confirmation. I am ay/are that the delay in this matter has arisen in consequence of the fact, that a meeting of Governors, at which a suggestion of mine, in the capacity of Visitor, respecting one of a set of laws which had been previously submitted to me for approval, was to be taken into consideration, turned out not to be a legally-constituted meeting. I have to congratulate the Governors on the remodelling of the accounts of the College. I have perused the Report of the Governors, and that of a committee appointed by them, in pursuance of a resolution passed on the 6th April; and lam pleated to learn that the Governors have entered into an arrangement -which is likely to attract a greater number of boarders to the College, and cause the boarding establishment to be much less burdentome.

I have received reports from the Principal, and have made inquiries respecting the progress and attainment of. the pupils: and lam satisfied, although the number attending the school at present ia much •mailer than might be expected, that, as far as the existing circumstances of the two provinces and the colony will permit, the intentions of the founders are »übstantially carried out, and that a higher standard of attainment will be reached ere long.
