The directors-, in their annual report, .submitting for the approval of the shareholders , the balance sheet and profit and loss account to the 31st January, 1900, state;— The stock has been taken at actual cost, doubly eheckecl throughout, and the accounts subjected to close inspection. The net profit for the year amounts to £16,04-0 12s sd, to which add the ' balance from last year £26,102 Is M— £42,142 13s Sd. Less dividend 31st January, 1899, £5782 18s 6d; less appropriations, as resolved at general meeting, 16th March, 1899, £3000 ; less interim dividend, 31st July, 1899, £5882 0s lid— £l4-,664 19s sd; leaving to be dealt with, £27,4-77 14s 4-d, which- it is proposed to apply as follows :— .Dividend to 31st January, | 1900,> at 7 per cent, per annum, £6006 5s lid ; to write off from factory plant, Dunedin, £1000 ; do, oil mill, Burnside. £250 ; do chemical buildings, Burnside, £250 ; do chemical plant, Burnside, £750 ; do chemical plant, Auckland, £500; do -Wellington fittings, £500; do Christchurch fittings, £250; do Dunedin fittings, £250 ; and carry forward to next year, £17,721 8s 5c I.—-total,1 .— -total, £27,477 14 s 4d. The following directors — Messrs Basil Sievwright" and James Scoular — retire from office in terms of the articles of association. Mr Sievwright is eligible, and offers himself for re-election. Mr James Scoular, on account of ill-health, the directors regret to say, retires, aiid for the vacancy Dr William Brown is a candidate. The dividend now recommended, if passed by, the meeting, will be payable at the Union Bank of Australia. (Limited), at its branches thioughout the colony, to colonial shareholders, on and after the 22nd day of March, 1900, and to London shareholders &t 82 Bishopsgite street, on receipt of advice.
