BRIDGE PROPOSAL
DIRECTOR'S RESIGNATION
HARBOUR BOARD DELEGATE
lho resignation of Mr. M. H. "VVynyard as the Harbour Board's representative on the directorate of the Harbour Bridge Company, Limited, was received by the board at a meeting yesterday, whon Mr. Wynyard sought the board's authority to relinquish the position. Mr. Wynyard said that at a meeting of the new directorate on October 31, at which he and the other local body representative, Mr. A. W. Christmas, were present, it had been decided that seven directors, not including either local body representative, should form an executive, four to form a quorum. This committee was to have the power to exercise any of the functions of the board of directors, except to complete negotiations for raising finance or to sign a contract for building the bridge, while it should not do anything which was "likoly to bo detrimental to the Auckland City Council, the Northcoto Borough Council or the Harbour Board."
"Tlio pica given for this resolution was that it would save the local body representatives loss of time on matters which did not particularly concern tho interests they represented," continued Mr. VVynyard. "Both the local body representatives present pointed out that they were quite prepared to givo their services as directors, that they should be lho ones to judgo whether any matters did or did not affect local body interests and that they had responsibilities as well as duties while they were directors. Holding these views they objected to their rights as directors being abrogated in the direction proposed by the resolution. "Under the circumstances I deem it my duty to report the position to the board." concluded Mr. Wynyard. "I do not dosiro to continuo as a diroctor subject to tho restrictions imposed by the resolution and ask consent to my resignation as director." j n granting consent the board thanked Mr. Wynyard for his services.
