THE humble petition of JOYNT ANDREWS SECURITIES LIMITED, a duly incorporated company having its registered office at Christchurch and carrying on business as an Investment Company. 1. BORLEY HOLDINGS LIMITED (hereinafter celled “the company") was the on the 16th day of November, 1983, incorporated under the Companies Act 1955. 2. THE registered office of the compay is 134 Riccarton Road, Christchurch. 3. THE nominal capital of the company is FIVE THOUSAND DOLLARS ($5000). The amount of the capital paid or credited as paid up is FIVE THOUSAND DOLLARS ($5000). 4. THE objects for which the company was established are as follows: Manufacture and supply of amusement machinery and other objects as set out in the Memorandum of Association. 5. THE company is Indebted to the petitioner in the sum of SEVEN THOUSAND TWO HUNDRED AND FIFTY-EIGHT DOLLARS AND NINETYNINE CENTS ($7,258.99) due and owing by the company as at the 10th day of July 1986 calculated as follows. $5,103.93 being the amount due and payable In respect of interest at thirty (30) per cent per annum on the principal sum, of NINETY THOUSAND DOLLARS ($90,000) owed to JOYNT ANDREWS SECURITIES LIMITED pursuant to a memorandum of Mortgage dated the 4th day of May 1986 being the penalty rate applicable due to non-pay-ment of Interest due on the 2nd day of June 1986. $2,155.06 being the amount due and payable in respect of Interest at thirty (30) per cent on the principal sum of THIRTY-EIGHT THOUSAND DOLLARS ($38,000) owed to JOYNT ANDREWS SECURITIES LIMITED pursuant to a memorandum of Mortgage dated the 4th day of May, 1986 such interest being the penalty rate applicable due to non-payment of Interest due on the 2nd day of June 1986. 6. YOUR petitioner has made application to the company under Section 218 of the Companies Act 1955 by notice served on the company on the 16th day of June, 1986 for payment of it debts, but the company has failed and neglected to pay .the same or any part thereof. 7. THE company is insolvent and unable to pay its debts. 8. N the circumstances it is Just and equitable that the company should be wound up. YOU PETITIONER THEREFORE HUMBLY PRAYS as follows. 1. THAT BORLEY HOLDINGS LIMITED be wound up by the court under provisions of he Companies Act 1955. 2. OR that such other order may be made in the premises as shall be just. 3. NOTICE IS HEREBY GIVEN that a Petition for the winding up of the abovenamed company by the High Court was on the 2nd day of July 1986 presented to the said Court by PETER STEVENS LIMITED.
