I phony Orchestra agrees that (from an agreed date in 19771 land for a period of two years thereafter it will withdraw from all orchestral lactivities and give its sup-; iport to the Canterbury Orchestra, the Canterbury OrIchestra Trust will imraedii ateiy seek approval to a further amendment to its constitution to provide: The retirement as on the agreed date in 1977 of all of the C.O.T. trustees then holding office. The administration of the trust for a period of two years from that dale by an interim board comprising a : judge of the Supreme Court! or a retired judge, a magis-j trate, retired magistrate, so- j iicitor or retired solicitor to I be nominated by the president of the Canterbury District Law Society. The nominee shall have had no active connection with the former Civic Orchestra, the C. 5.0., or the C.O.T. and; shall not be a partner of a] solicitor who shall have had j any such connection. This; nominee shall be the chair-I man of the interim board;! 'the present chairman ofj the C.S.O. board; the present! chairman of the C.0.T.! board. That throughout the twoyear period of administration by the interim board the trust will offer engagements to those part-time orchestral players who are willing and able to play to a satisfactory standard: and to this end will, if necessary, j rearrange programmes which ■ may have already been an-1 nounced. That at any time during > the two-year period the I interim board be authorised, to seek approval to any fur- ■ ther changes in the trust’s! constitution which the interim board may consider necessary or desirable. That at the end of the two-year period the interim board shall call for the election or nomination of a new board of trustees in accordance with the trust’s consitution as it then stands. That proceedings of the interim board shall be in accordance with clause 8 of the trust’s constitution — as amended by the above provisions — and subject to the following further amendments: the secretary shall convene a meeting of the interim board on the requisition of the chairman or of any- one member; the quorum necessary for the transaction of the business of the interim board shall be two members present in person or by proxy, one of those present being the chairman of the interim board or his proxy; any member may appoint a; proxy to act in his stead at any meeting of the interim board; should any member be unable or incapable of acting for the full two-year period he shall be replaced in the following manner.
