COUNTER BID BY WALTONS
New Offer For Hodgsons
Waltons, Ltd., retailer, has made a counter offer worth 22s 5d a share for the issued capital of Hodgson’s Holdings, Ltd. The offer is eight 5s fully paid Waltons ordinary shares for every five Hodgson’s 16s stock units. Alternatively stockholders are offered 21s in cash for each unit. Terms of the offer allow part acceptance in shares and cash. Fractions will be paid for art 13s 9d a unit. Units to be issued will rank for dividend from February Worth £515,584 On the basis ot 22s 5d a share, the offer is worth £515,584 for Hodgson’s issued capital of £230.000 in 10s shares. If the alternative cash offer is accepted, cost to Waltons would be £483,000. Acceptance of the offer would require Waltons to issue 736.000 5s units. raising paid ordinary capital to £5.262,637 in 5s units. Towards the end of last month. Bebarfalds had offered 18s cash for each Hodgson’s stock unit. That offer was worth £414.000. Directors now recommend acceptance of Waltons offer.
