PURSUANT to the Transport (Vehicular Traffic Road Closure) Regulations 1949 notice is hereby given that for the purpose of permitting the Canterbury Auto Cycle Club to run its Grand Prix Races, the following roads will be closed to ordinary vehicular traffic for the periods indicated hereunder:— The roads to be closed to ordin-' ary vehicular traffic are portions of, Terrace road. Stoke School road.) Catherwpod’s road, and Davis road, 1 located at Cust. and known as the) Grand Prix Course, together with one-half mile of all roads giving' access thereto.

During the periods of closure the following provisions will be made for ordinary vehicular traffic which would otherwise use the roads. Permits will be issued to enable any legitimate traffic to enter the closed area, between events. The Canterbury Auto Cycle Club has also been asked to provide adequate Marshalls for the protection of competitors and spectators alike. The periods of closure are Saturday, April 5, from 2 p.m. to 4 p.m., and Monday, April 7, from 10 a.m. to 4 p.m., with an Interval for lunch. Alternative provisions for ordinary vehicular traffic as above. It will be an offence under the above regulations for any person otherwise than under authority of an authorised permit to use the roads for ordinary vehicular traffic during the periods of closure. NOTICE IS HEREBY GIVEN that by an Order made on the 27th day of February, 1958. the Court sanctioned a Scheme of Arrangement approved at a meeting of shareholders of the Southland Farmers Freezing Co., Ltd., convened under the provisions of Sect ion 205 of the Companies Act

In its order sanctioning the said Scheme of Arrangement the Court in exercise of the powers contained in Section 205 of the Companies Act 1955 made provision for such of the shareholders of the said the Southland Farmers Freezing Co., Ltd. as should dissent from the Scheme of Arrangement and also fixed the manner and the time within which notice of dissent might be given.

The relevant provisions of the said Order are as follows: ~ "Any shareholder of the said Farmers Freezing Co.. Ltd. who shall within the time and in the manner directed by this Order dissent from the Said Scheme of Arrangement shall be entitled if he holds shares in the said Southland Farmers’ Freezing Co.. Ltd not exceeding Five hundred pounds in nominal value to repayment of all moneys paid by him in respect of such shares ?. n < I „ be discharged from al) further liability in respect thereof and if he shall hold shares in either the said Southland Farmers’ Freezing Co., Ltd. or such company and the Southland Sheepfarmers Co., Ltd. having a nominal value in excess of Five hundred pounds he may elect to have repaid to him all moneys paid by him in respect of his shares and be discharged as aforesaid or to receive in accordance with the provisions of the said Scheme of Arrangement such number of shares (paid to two shillings in the pound) in the Alliance Freezing Co. (South- ■•■>«>>• Ltd (hereinafter called the Transferee company”) as he may nominate having a nominal value of not less than Five hundred pounds in exchange for shares having a like nominal value now held by him and renounce the remainder of the shares now so held and to be repaid all moneys paid by him in respect of the shares he shall so renounce and in respect of prepayment of calls. "Any shareholder of the said Southland Farmers' Freezing Co., Ltd. may dissent from the said Scheme of Arrangement by delivering a notice of dissent signed by such shareholder to the registered office of the said Southland Farmers’ Freezing Co., Ltd. or by posting such notice signed as aforesaid in an envelope addressed to the company at its registered office by prepaid post on condition that such notice shall he delivered to or posted so as to arrive at such registered office within twenty-one days after the date upon which the said Southland Farmers Freezing Co.. Ltd shall have posted to him at the address given by such shareholder and as shown in the register of members of that company or at any later address known to that company a notice informing him of his right to dissent, or within twentv-one days after the last of advertisements shall be made in the “Southland Times,’’ the ’ Southland Daily News," the "Otago Daily Times.” the “Christchurch Press.” the "Timaru Herald." and the “Mataura Ensign" newspapers and the “Truth” periodical notifying shareholders of the said company that they may dissent from the said Scheme of Arrangement whichever shall be the later.”

Shareholders who wish to dissent from the Scheme of Arrangement are required to do so in manner end within the time limited above. Any shareholder who in accordance with the provisions above-mentioned wishes to renounce part of his shareholding and not dissent wholly should signify in his notice the number of shares which he desires to renounce in excess of £5OO in nominal value.
