THIS COMPACT, intended to be founded by the firm of Somervell Brothers, with the primary design of receiving the co-operation of parties associated with their business, is when registered, to he carried on under the style of " Somervell Brothers, Limited," and is to be formed for the purpose of acquiring the Manufactories and Trading Premises at present in the possession of Somervell Brothers, | together with the benefit of their old established connection throughout a large part of Great Britain and Irelan I, and in most of the trading countries of the Tr^Wd. The business was commenced in the year 1842, on a very small scale, has gtadually increased in prosperity from that time, and is entirely free from speculation of any kind, contesting as it does of a trade in goods n universal demand. Tho Leather Trade consists of the import of leather from various Foreign Countries, and its sale and re-shipment. The Leather Dressing Depart ment obtained Honorahle mention in the Industrial Exhibition of 1862. The Shoe Finding and Shoo Mercery Department consists of the import, purchase, or manufacture of every article (leather excepted), that enters into the composition of a shoe or boot. Somervell Brothers obtained the Prize Medal for this department in the Industrial Exhibition «f IBfi2. The Rivetted and Sewn Boot Manufacture is oije but recently commenced, but has already arrived at such perfection that the goods manufactured in this department are pronounced by competent judges to he the heat in the trade. It is intended to have the whole of the premises, with machinery and General Plant, valued by a competent and fair valuer, of character and respectability, such valuation to be made as between incoming and outgoing partners, hut without any addition for good-will. This Company offers «o the shareholders the advantage of entering at once upon an established business which it has taken twenty-two years to bring to its present position, and its profits in the past hold out a good prospect for future dividends. Stock will lie taken on the last week of December in each year, and a dividend will be declared and payable before tho end of the January followng. It is intended that a half-yearly approximate dividend also be declared, and payable in July in each year. The presen firm viz., the firs t two named directors, retain in their own hands 15,000 shares, on which £2 per share shall be at fl once paid by them, and in addition they, thoy Hot to themselves 10.000 shares, with £2 paid as a moderate valuation for the Goodwill and General Interest of the business they surrender. These 10,000 Shares to receive no dividend for the first two years, except tho rest of the shareholders have received 10 per cent. Somervell Brothers offer the remaining 15,000 shares to their friends and tho public. They propose to continue their undivided attention, as well as their practical knowledge and long experience to the management of the business, and will retain the supremo control. The other Directors will givo (heir whole timo to the management of their various departments as they have hitherto done. Each sharo will carry one vote. The new Company will commence operations on the Ist day of July next, or as soon after as practicable. The present firm will hold themselves responsible for all the debts owing to them, which will } however, be collected by the new company in the usual way.
