TE AWAMUTU ELECTRIC POWER BOARD. SPECIAL ORDER. "PURSUANT 'to !the provisions of the Electric Power Boards Act, 1925, public notice is bkireby given that, at ,a Special M'eeibing of the Te Awamutu Electric Power Boalrd, called for the purpose and held at the Board's office. Mutu 'Street, lis Awamutu, om the 22nd daiy of .'October, 1926, Ithe followling Resolution 'was duly passed. The Resolution is as. follow®:.— The Te Awamutu Electric Power Board (hereinafter called " the safcl !Bo;ard"), in pursuance and exercise of the powers conferred by the local Botflies' Loans Act, 1926, *md of all ot'he'r powers (if any) it in that ttahalf enabling, hereby resolves by way of 'Special Order :as> foll'O'wis, namely: (1) To call in and .convelrt ithe o'ult's|Janding loan knowtn as "The Te lAwamutu lEleotric Power Boartl Loan (1921) of £6,2,000 " ('hereinafter caP.Ted "the outstanding loan") raised by the said 'Board in pursuance and exercisist of the powers conferred Iby the ILocal 'Bodies' Loans Act, 1913. (2) That, for the purposes of such •conversion, t/he said Board issue debentures for this: .sum of £62,000, having a currency of 361 years,, and bearing interest .at the rate of £5 0s Od per eenltum per annum, such debentu'res and !the interest tiheireon being payable at the principal banking house of the 'Balnk of 'New Zealand in Sydney, New Stoulth Wales. Slulch debentures shall be igsu.ed in respect of a conversion loan to he called "The Te Awamutu Electric Power Board Conversion Loan (1926) of £62,000"; shall 'be sealed with the 1 Common Seal of the said Board', and signed by the Chairman of the said Board and counltersignetdi by the Secretary to the said Board. (3) That such debentures shall be disposed of in exchange for ithe debentures representing the outstanding loan, and that such lastmentioned debentures shall be cancelled arid' destroyed. (4) That 1 the sum of £3OOO shall be paid by way of premium or compensation in respect of such conversion, and that the said sum shall bp paid in cash. (5) That the said sum of £3OOO and all costs of issuing such conversion debentures and all charges incidental Ito the conversion of the outstanding loan and other operations connected therewith lS hall be paid out of the 'Sinking Fund established in connection with the outstanding loan and to the extenlt to which such Sinking Fund is insufficient but of the local fund of the satd 'Board. (6) Thau 'a iSiuking Fund of an annual sum of £1 per centum per annum on the amount of thi? said ' : conversion loan of £62,000 i s here- ' 'by established. (7) 1 That iiihe annuall' recurring special rate of thirteen - sixteenths of one penny in thlni pound sterling upon the ratable value (on the basis of the capital value) of all ratable property in the Te Awamutu Electric Power District, made as security for this; onUstanding loan, shall be the security for .-..,, the said conversion loan and debentures and the interest thereon during the cuirrisncy thereof and until the sai\ll loan and debentures have been fully paid off; and the said special rate is hereby appropriated and pledged by thb said !Boa.rd as security for the purpose of securing repayment 'of the said sum of £62,000 and the debentures to be isslujed in inspect thereof and the interest thereon and in order to provide funds for 'the creation of the Sink'ing Fund aforesaid. (S)f That the Common Steal of the said 'Board be affixed to all deeds and documents necessary for carrying out the aforesaid resolution. (9) That copite's of this resolution and all other resolutions and d'ocu- . ments relating to the aforesaid matlters, verified by the Chairman and Secretalry a s correct extracts from the Minutes of Proceedings of the said 'Board, may from time to rime be sealedi with the said Common Seail as evidence of the .. same; and issued.
