This Company is projected for the purpose of taking over and carrying on the well-known and old-estabiished business of the Red Lion Brewery, which has been successfully carried on by Mr Maurice Joel for the last 18 years. It is not anticipated tbat any further calls than as above stated will require to be made, as Mr Joel will leave, at the option of the Directory, £15,000 of the purchase-money on secuicd debentures of the Company, for a term of seven years, bearing interest at seven per cent, per annum, and he will take 20,000 shares— which will leave 40,000 shares for distribution. He will also undertake the management foi two years. An agreement has been entered into between Mr Joel and the Provisional Directors to the above effect. The Red Lion Brewery has always maintained a high reputation since its establishment in 1862, and has taken more prizes than any other in the Colony, and the beer is consumed extensively in both Islands. Taking the average profits of the last 10 years as a standard, the business shows with the rents o£ the properties and interest of loans, a profit of 18 pur cent, per annum on £30,000 (the sum proposed to be called up), verified by Messrs William B^own and A. Bartleman, accouutants, as per their certificate below. The profitable nature of rarefully-managed brewing companies is well known ; and it may be safely said that this investment will constitute one of the most lucrative of ils kind in the Colony. The brewery land consists of 1 acre 27 poles (freehold), having frontages to Grea^ King and George-streets, Dunedin, and contains a well, affording a never-failing supply of the best water for brewing in tbe Colony. Upon this land are erected the substantial and well.constructed brewery building', consisting of brick and stone mashng and storage premises, large brick an.l stone cellar, stone fermenting rooms, stone malt-house and kiln, brick and stone bottling stores, and brick stables, together with fixed plant of the most modern and approved construction, with brewer's residence, offices, and other premises, which, with the goodwill, extensive connection, and business of the proprietor, will be taken over at the price of £17,000. The other properties, consisting of freehold and leasehold hotels, loans to hotelkeepers (secured), stock of beer, materials, barley and malt, good book-debts, loose plant, and furniture and stock in hotels, will be taken at a price to be ascertained by valuation. The total purchase-money is estimated to amount lo about £40,000. As the business has been a profitable one to Mr Joel, the Provisional Directors can with confidence recommend it as a safe and sure undertaking to investors, and one capable of much further development. The large in'ei'CSt retained by Mi- Joel in tne business is a guarantee of bona fides and of the success of Ibe Company. Applications for shares may bo lodged with the Brokers or with the Colonial Bank of New Zealand, Dunedin, and its branches throughout the Colony. The Share List will be closed on the 6th April, 1882. Accountant's Report. At the request of Mr Maurice Joel, we have examined the profit and loss account in his books for a period of 10 years, embracing the years 1872 and 1881 inclusive, and extracted therefrom all credits and debit, arising from ordinary trade transactions, and we find that tbe results run very evenly throughout the period, and lhat without taking into account the rental of tenements at present vacant.
