REPRESENTATION QUESTION.

RECOMMENDATION OF COMMITTEE. (Per Press Association.) WELLINGTON, May 19. When the conference of co-operative dairy company delegates met this morn ing to consider further details of the dairy pool, the main anxiety was as to whether the difficulty over the representation of the North and South Ttlands on the board of directors had been smoothed out overnight. It was indicated at the outset to-day that a solution might be possible. The matter will be considered later. The problem of shareholders’ votes is now under discussion. North Auckland moved that the voting should be on the basis of one vote for 100 shares, two votes for 200 shares, three votes for 400. four for 700, five for 1000, and a further vote for every additional 1000. This amendment, was carried. Mr Goodfellow, South Auckland, then moved ,hut the voting should he on a shareholding basis, hut that no one company should have more than two seats on the board, thus bringing the meeting back to one share one vote, with a safeguard of the limitation of two directors from any one company. An ©Hyecion that the amendment was really the amendment that Mr Goodfellow had previously' moved was upheld by the chairman. The debate continued on the subject whether the voting should he on a sliding -or a. share basis. A committee was set up and reported half-an-hour later. Its recommendation that, subject to the directors of Goodfellows’ Co. agreeing, the basis he: For each 100 shares up to 500, one vote, for every 150 over 500. one additional vote, was adopted.
