Notice is hereby given that an Extraordinary General Sleeting of the above Company will be held at the Company's office, Bank of New Zealand Buildings, Queen-street, Auckland, on THURSDAY, the 15th day of October, 1890, at noon, to consider, and if thought fit. pass the following resolutions, viz : — 1. That the Directors be, and they are hereby, authorised to sell the whole of the rights, privileges, property and effect* of the Company (other than uncalled capital), or give an option, upon such terms and conditions in all things as they may think fit. 2. That the Directors of the Company be, and they are hereby authorised and empowered to execute all necessary deeds to effectuate any sale. . 3. For the purpose of carrying out and giving effect to the foregoing resolutions or any of them, the Directors of the said Company shall have full power to appoint by deed, an Attorney or Attorneys in New Zealand, or elsewhere, to act on their behalf and carry out the foregoing resolutions, or any of them, and the said Directors shall have full power to delegate to the said Attorney or Attorneys all the powers and authorities of them the said Directors in relation to the matters referred to in the" foregoing resolutions, whether such powers are conferred upon the said Directors by such resolutions or otherwise.
