BEFBIGERATING COMPANY. A general meeting of shareholders of th< South Canterbury fiefrigeruting Companj was held in Messrs Maolean and Stewart's sale room on Saturday afternoon, to adopt Memorandum and Articles of Association, anr (•notion the registration of tho Company, The Committee bad met at an earlier hour and arranged the business. At the general meeting about sixty persons were preient, among whom wore residents of all parti ol Bouth Canterbury, and Mr Elworthy occupied the chair. The minutes of the lait meeting were read and confirmed, and the Seoretary, Mr Olulee, then read tho Memorandum and Articles of Association recommended by tho Committee for adoption. These were founded on Ihe documents adopted by the Canterbury Company at Chriitchurch, a few Becrsmry alterations being made hero and there. Power is taken in the Memorandum to purchase ard oreot plant for rendering tallow, soap and cnndlemaking, {etluiougoring, and other businesses incidental to, and neorsssry for utilising the watte products of, the main business. On the motion of Mr Pric», seconded by Mr Moody, it was resolved to form the Company with 3600 sharer, the amount of capital represented by that number being deemed sufficient for (he commencetnent of operations. Twelvo prrions were named by the Committee to (übscribe the Articles of Association for registration, and to form the directorate until the Company shall hare been registered and tho permanent directors thereafter appointed. This recommendation gave riso to some discussion. Mr J. Page thought the shareholders should elect tho director*, eren though they wero to hold their office for a very short time, if, as the Chairman ruled, they would hava power to deal with the shareholders' money, and esprciaUy if they were to bare power to deal -with the question of a site far th« works. Mr Woollcombe spoke in the tame strain. Mr P. Wareing objected that only two of the twelve- persons named lived north of Timaru and its suburbs. Mr Howell proposed, Mr Moody seconded, sod it was carried, that all of those originally appointed provitional directors who had taken shares should attach their names to the Article! of Association. At the suggestion of Mr Jonae the rules relating to audit of aocounts wero altered, so as to require one, of the two auditors to retire each year and be ineligible for election for the next year. The question of the permanent directorate was then discussed. Mr Jonai enggeited that as the district w» a large one, the directorate should be large, so that eaoh section might be represented. Mr Frasar pointed out that th« larger the number of directors tho greater the expense, as each director is to receive a guinea for each meeting he attends. The Chairman said the Ohri«tchurch Company have fire, and the Otago Company seven directors. On tho motion of Mr D. McLaren, seconded by Mr Moody, it wot resolred that tho permanent directors be nino in number, four to form a quorum. An amendment that the number be twelve was proposed and seconded, but not pressed. The Memorandum and Articles as amended were then formally adopted. The Chairman saying, in reply to Mr Hewell, that those who subscribed to the Memorandum Bnd Articles, the provisional directors, would have full power to do anything on behalf of tho Company, Mr Acton said as some shareholders bad objected to full power to purchase a site being left with them, it might meet the views of the shareholders as a body if a restriction wero placed upon their action ia «o important a matter. Mr J. Wilson proposed, and Mr P. Wareing seconded, and it was carried — " Thar, the Provisional Directors bo instructed t > look out for a site for permanent works, such site to be fixed within a distance of fire miles north and three miles south from Timaru, and as near Titnaru as possible, and that they have power to invest the fundi of the Company temporarily to the best advantage, and procure all infurmtlion concerning shipping, plant, tc. ; plan of operation* to be submitted to the first meeting of shareholders, to be held in November next." Mr Ziesler suggested, and the meeting approved, that the Provisional Directors make inquiries beforehand of the coat of registering the Company. Sometimes large sums wera spent in this work, and in other instances it was done for very little. It was resolved on the motion of Mr Howell, seomded by Mr Bristol, that tho sbaro list remain open till the end of the month, and the meeting closed with a vote of thanks to lh« Chairman.
