Auckland, Tuesday. At tho Fiji Bank meeting to-day, Mr Watt in the chair, a confirmed resolution to wind up tho company and to transfer the business to tho Bank of New Zealand, which institution had agreed to relax their previous terms, was carried.

Frances Wilson, a poor woman well known about Auckland streets, died last night in the police cells.

The annual meeting of tho shareholders of the Union Beach Company was held to-day, and was largely attended. Captain Daldy presided. Tho directors' report showed that during the year 706 tons of quartz and specimens have been crashed for a yield of 7,4050zs sdwts 14grs gold, being an average of over IOgOZS of gold to tho ton of quartz, tho proceeds from which havo enabled tho directors, besides paying tho working expenses of the mine, to purchase a powerful engine and boiler, and a 16-stamper battery erected on the mine by tho New Zealand Quartz Crushing Company, at a total cost of £2,918, being very low value for tho same, to create a reserve fund of £2,000, and to declare three dividends, amounting in all to 17s 6d por share, and a fourth dividend of 10s per share, which is not included in the past year's accounts, was not paid until tho commencement of the present financial year. Tho directors recommend the appropriation of a sum of £250 for their past services. The statement of accounts showed gold sales, £19,644 j other sources of revenue brought up the total receipts to £20,061, The expenditure left a balance of £505 in the bank, in addition to a reserve fund of £2,ooo'.—The Chairman said, in moving' an expression of opinion' on the report, that good wine needs no bush; that the reports before him held out delightful prospects to the shareholders, and he was glad to introduce to their notice the sum recommended to be given to the directors. —Mr Howard seconded the adoption of the reports and balance-sheet, which was carried.—Tho Chairman said the next business of the meeving was tho election of directors. Messrs Sing and McLeod retired by rotation, and offered themselves for re-election. Messrs Aitken and Beotham offered themselves for eleotion on the Board.—Mr Matthews moved that the number of electors bo reduced to five.—This was seconded by Mr Wardrop. —Mr Stovin proposed and Mr Morpeth seconded an amendment to the|effect that the' number of the directors remain as they are.—Mr Woollams spoke very strongly against the movements for disfranchising two Coromandol shareholders. —Mr MoLeod, in defending his lino of conduct as a director, said ho had defended the manager as long as he could, but when he saw that there was a lack of truth he went against him. Mr Hanney told him that he- should not Ipart with a single one of his shares, and he afterwards found that they were in the market. The manager's friends all sold, and tho Chairman's nephew sold, and when he saw this he determined to protect the shareholders. On another occasion the manager had sent a telegram diametrically opposed to one he had sent with the manager's own consent. Ho would leave the matter in their own hands. (Cheers.) After further discussion Mr Stovin's amendment was put and carried on the show of hands by 35 to 5. A poll was demanded, and resulted in favour of all the , direotors being re-elected. Mr McLeod, by accidental absence, was provented from voting. The result was loudly cheered.
