MANAGEMENT.—EconomicaI management, and progressive methods, combined with quality of business will be the MKST AJjIS of the Association. All the Association's tables will be approved of and certified to by an actuary, whose services have been secured. It is claimed that the methods to be employed by the Association for procuring Business will not only bo unique, economical, and effective, but that a system is being devised by which tho LAPSE RATE, which is the trouble of all Insurance Companies, will bo reduced to a. minimum. This is perhaps one of the most important features towards the .success of Insurance Companies, as it is recognised that "Tho business that stays is the business that pays." The Association will first open and develop its business in New South Wales, as that State probably affords the greatest scope, but will ultimately open branches in all other Australian States, and the Dominion of New Zealand, and elsewhere, as may be decided by the Director?. Profits.—The anniu profits will be apportioned in the following manner :— 1. To form and maintain a Reserve Fund in accordance with the determination of Shareholders at Annual Meetings. 2. The payment of Dividends to Shareholders to be limited to 10 per cent, on the paid-up capita], and in addition 20 per cent, of tho net profits of the Association. 3. The payment of bonuses to Policy Holders. The Association will pay a brokerage of 2J per cent, in respect of all shares allotted in reply to applications bearing broker's stamps. This does not apply to applications so stamped handed in direct relief of underwriting. _ As the Association desires to be a thoroughly representative one, applications for even the smallest number of shares will be entertained. Applications for shares should bo made oil the accompanying form and s;ont to the Association's Bankers, The Bunk of New South Wales, or any liraoch thereof, or to the Secretary, Australian Amicable Assurance Association, Ltd., first floor, Challis Houso, Martin Place, Sydney, together with remittance of the deposit of 2/0 per share. Jn ease where no allotment of .vliarc- is made deposits will ho returned! in full. Where the number of sharps allotted is less than the number applied for the balance of the deposit will be applied to the amount duo on allotment. The Association reserves tho right to allot shares to those whom they think it will be in the best interests of the Association so to do. (1) The following agreements dated the twelfth'day of December 1911 havn been entered into between GEORGE MILLARD of the one part, ami CLAUDE MANNING on behalf of the Association of tho other part, whereby the said GEORGE MILLARD agrees to pay all preliminary costs, 'including Advertising, Legal Expeus?.s, Printing, Stationery, Postage, etc., down U> the date of the first general allotment of shares except Brokerage and Underwriting Commission, in consideration of the sum of One thousand pounds in cash and Ten thousand fully paid-up shares, with an absolute right to subscribe, at par for at least Twenty thousand shares in the Association (2) The said GEORGE MILLARD also undertakes to underwrite or procure the underwriting of Ten thousand shares of tho Association in consideration of a commission of 7 per rent, in cash. (3) The said GEORGE MILLARD agrees to become Agency Supervisor for the Association. Agreements dated, the 22nd day of December, 1911, have been entered into between Claude Manning of the one part and Selby Pierce Wood' ami James Marmnnt of th? other part, whereby it is agreed that the said Selbv Pierco Wood and James Marmont shall be- Joint" Managers of the Association.
