(ci To acquire from the said Herbert Sutcliffe Nicholl a sub-lease for 99 years of limestone rights over Mr T. Coates's land lying within half a mile of the proposed railway for a royalty of 9d per cubic yard on the other terms and conditions mentioned in an option held from Mr Coates dated 22nd July, 1920, (d) To develop and turn the said properties and rights to account. The consideration payable to the Syndicate is as follows:—(a) £1250 cash to cover expenses incidental to obtaining the above lease and option and survey of line, and (b) the reservation to them out of the above-mentioned royalties of threepence per cubic raid of road metal, one penny per cubic foot of other stone, and fourpcuee halfpenny per cubic yard of limestone (sixpence per cubic yard on road nutal, one pennv per cubic foot of other stone, and fourpenco halfpenny per cubic yard of limestone being payable to Thomas Coates, of Orakei, Farmer, as owner i. The Syndicate receives nothing further in the way of cash, shares, or any Other consideration. DESCRIPTION OF PROPERTY. The land contained in the above-mentioned sublease is situated at PukekaToro, in the Parish of Kaiwaka ; in the Otamatea County, and is known in the district as the Bald Rock—a kill-of approximately somo 750 feet in height. It is about four inika from the Kaiwaka Station, on the North Auckland Main Trunk Line. The deposit 15 in two distinct formations, a fault or dyke evidently appeari__ i.„ 4„ 4-i r\ nc deposit may be described as a slaty formation with fering exceptional facilities for reduction into road metal, etc. The second deposit of the same stone, showing in two faces on the opposite side of the hill, is evidently one enormous stratum of solid rock to depths unknown. It is conveniently joined so as to greatly facilitate quarrying operations. This building stone'appears in two very pleasing colours —Light Grey and Brown, both of which take a beautiful and' lasting polish. The quantities both for road metal and building stone are practically inexhaustible, and the contour of the deposits and surrounding laud- is such as to provide a working scheme of gravitation. The limestone deposits are in close proximity to the area containing the trachyte stone. Samples have been tested by the Government Chemist, who commends these deposits as the most suitable for converting into ground limestone for agricultural purposes, showing as they do up to 97 per cent, of Carbonate of Lime. For transportation facilities a branch line is to be constructed to make direct connection between the property and the Government Main Trunk Line. The length of this, including sidings, will be approximately 4 miles 02 chains. This line naturally passes through several owners' land, and Options with each Owner are secured, giving rights to purchase the freehold of the lands required. CONTRACTS: The onlv contract which has been entered into on the Company's behalf Is an agreement dated the 23rd day of July, 1920. made between Alan St. Clair Brown, of Auckland, Solicitor, on behalf of the Company, and Herbert Sutcliffe Nicholl, a copy whereof may be inspected at the office of Messrs Bamford and Brown, Solicitors, New Zealand Insurance Buildings, Queen Street, Auckland, during ordinary business hours. Directors" Qualification. —The number of shares fixed by the Articles of Association as the qualification for a Director is f>oo.
