THE WAIROA FARMERS’ CO-OPERATIVE MEAT COMPANY, LIMITED \TOTICE is hereby given that an EXTRAORDINARY GENERAL MEETING of the above-mentioned Company will be held at the Registered Office of the Company, North Clyde, Walroa, on SATURDAY, the 10th DAY of DECEMBER, 1932, at 2 o'clock in the afternoon for the purpose of considering, and if thought fit, passing the following resolutions which will bo proposed at such meeting:— (1) That the sale of the assets of this Company (other than cash, book debts, unpaid calls, and uncalled capital) to a new Company about to be fromed under the name of “The Wairoa Farmers’ Meat Company, Limited,” and having as its shareholders The Hawke’s Bay Farmers’ Meat Company, Limited, Nelson’s (N.Z.), Limited, and The Gisborne Refrigerating Company, Limited, be and is hereby approved. (2) That this Company be wound up voluntarily for the purpose of effecting such sale, and that Herbert Crichton, of Wairoa, Company Secretary, be and is hereby appointed Liquidator of this Company. (3) That the said Liquidator be and is hereby authorised to enter into any such sale or arrangement as is contemplated by Section 259 of "The Companies Act, 1908,” and in particular to enter into an Agreement with the said new Company about to be formed under the name of The Wairoa Farmers’ Meat Company, Limited, for the sale to that Company under the said Section 259 of the business and ’ assets of this Company (other than cash, book debts, unpaid calls and uncalled capital) in consideration of issue of Debentures of the said new company for distribution among the members of this Company upon the general basis of the agreement submitted to this meeting and identified by the signature of the Chairman with such (if any) modifications as he deems expedient.

Should the above resolutions be passed by the requisite majority they will be submitted for confirmation as special resolutions to a further.Extraordingary General Meeting which will be subsequently convened..
