THE OBJECTS for which the Company is proposed to be formed are: (a) .To acquire by purchase the Soap Works, Plant, Land and Premises, and Business of Messrs Williams and Kimbel, at Kaiti, near Gisborne, known as the Lynda Soap Works; and (b) to develop and exten<. tlie operations of the said business tc allied industries, as more particularly set out m the Memorandum of Association of the Company, copy of which is annexed. " It is well known that large profits are made from soap-making m this colony, and there i_ every reason to believe that -with the capital proposed to be raised by this Company, a properly-equiped local Soap Works will prove a profitable undertaking and add to the prosperity of the district. Lynda Soap has always been of high quality, and has met with good sale. The Capital of the Company is £5000, divided into 5000 Shares of £1 each, with pdwer to increase ; 1300 are fully paid up and 3700 are contributing shares. . Two thousand (2000) Contributing Shares are/now offered to the Public for subscription, to be paid as follows:— ' ," On application 2s' 6d per Share. On allotment, 2s 6d per Share. The balance by calls not ezce^dine 2s 6d per Share, at not less than monthly intervals. The number and amount of Shares to ' be issued, as fully or partly paid up otherjwise than m cash, is 1300 fully paid up, J to be used and applied to the extent of 1000 for settling the balance of £1000 of purchase price payable to the vendors, and 'to the -extent of 300, or such less number as may be required, m satisfying the charges incurred m the promotion of the Company. . The mun_.um~Bubscription on which the Directors may. proceed tc , allotment is 2000 Contributing Shares. The names and addresses d *he Vendors of the. property proposed to be acquired are GEORGE WILLIAMS and MARTIN KIMBEL, both of Gisborne, Soapmakers, both of whom are proposed Directors of the Company, and are, under the' Agreement hereinafter mentioned, interested m the formation of the Company, viz., George Williams 700 paid-up Shares, and Martin Kimbel 300 paid-up Shares. The amount payable to the Vendors as purchase money, m the event of the said property being acquired, is £1500, including £100 as for goodwill 'of business, as set out m the Agreement for sale and purchase made between the said George Williams and Martin Kimbel of the one part, and George B. Oman, John F. Pettie, and Arthur Sawyer, three of the abovenamed Directors on behalf of - the proposed Company^ of the other part, dated the fifteenth day of June. 1907, which Agreement, and also the Memorandum of Association, may be inspected at any time d urine business hours at the office of William Sievwright, Esq., Solicitor, Gisborne. , The qualification of a Director is the holding of not less than Fifteen Shares, either paid up or contributing. The preliminary expenses are estimated at £50. . The amount of commission to be paid by the Company to its Sharebrokers is limited to 2^ per cent, on all Shares sold by them which are allotted by the Directors. The Articles of Association with reference to the remuneration of Directors provide as follows :— The Directors shall be paid out of the funds of the Company, by way of remuneration for their services, such, sum or sums as the Company 1 may from time to time fix at a General Meeting, and such remuneration shall be divided amongst them m such proportions and manner as the Directors may determine. The Company's Memorandum of Association is to be read m connection with this Prospectus. ' Applications for Shares may be had from Messrs Williams and Kimbel, who will give receipts for deposits.
