Boards will be established in all tbe principal colonies ; and care will be taken to make available to each colony, according fco its current business requirements, an equivalent proportion of the capital at the command of the Company from time to time. The firßt issue of shares will in the first instance be reserved in the following propoitions to supply applications from each colony— viz. : New South Wales, 300,000 shares ; Victoria, :500,000 shares ; Queensland, 200.000 shares ; South Australia, 100,000 shares ; New Zealand, 50,000 shares ; Tasmania, 25,000 shares ; and Western Australia, 2.">,000 shares ; but the Directors reserve the power in making allotments to have regard, in the first place, to applicants likely to become constituents, to dispose in other colonies any shares not applied for ot the reseivations for each colony, and alao from time to time to issue, upon such terms as they may deem advisable, shares to customers. PROFITS^ Tho articles provide that the net profits, after providing for maintenance of a reasonable current balauce and reserve fund, will be apportioned yearly upon the following basis :— (a) In providing for a dividend not exceeding the rate of eight pounds per cent, per annum upon the paid-up capital. (b) An appropriation at a rate not exceeding 2 per cent, per annum on such capital to a Bpeclal fund for equalising dividends, provided always that no such appropriation Bhall be made whenever the said fund shall stand with the sum of one hundred thousand pounds to the credit thereof. (c) One half of the balanco shall be distributed amongst the shareholders by way of bonus or additional dividend, and the other half shall be divided amongst the constituents of tho Company being shareholders, in proportion to the amount of profit nccruing to tho Company from thair respective transactions with the Company during the preceding year. POWEBS. The memorandum and articles of association will enable the Company to acquiie any similar business already established, and the Provisional Directors have already in view the acquisition on favourable terms of three such businesses carrying first-class connections. Powerß will also be taken for thi Company to act as trustees, executors, and agents of estates which iuclude pastoral and agricultural prorerties. The memorandum of association is pub lished herewith, and the articles of association can be inspected at the office of the Solicitors of the Company— Messrs Allen and Allen, Phillip street, Sydney, New South Wales; Messrs Cuthbert, Hamilton, and Wynne, Collins street west, Melbourne, Victoria ; Messrs G. and J. Downer, Central Chambers, King William street, Adelaide, South Australia ; Messrs Macdonald-Paterson, Fitzgerald, and Hawthorne, Brisbane, Queensland. Able and experienced management in each department will be secured, aud all appointments will be made by the Directors after the floating of the Company. In the formation' of the Company no promoters' shares will be issued. The cast of registration, law, brokerage, printing, and sundry preliminary expensea will, however, be made a first charge upon fcbe funds of the Company. Already a largo number of influential stationholder3 iv each colony have promised to send and to influence business to the Company, and many have intimated their intention of becoming large shareholders. Shares will be allotted, as far as practicable, according to priority of anplication, and aa may be considered most conducive to the best interests of the Company.
