BULES FOR OBGANIBING FACTORY.

We, the undersigned, hereby agree to unite ourselves into a body or association for the purpose of erecting and building a butter and cheese factory, and for the purpose of running Mid factory to make butter and cheese from the milk whioh shall or may be bought in from time to time to aud factory by members of the Association and other persons ; to be made into batter or cheese at a certain price for the work »nd materials expended from time to time, to be fixed by the Association. u .,Said building or factory ia to be 100 ft by 40ft incize, and two storeys high, to be built of good ana substantial materials, and suitable and convenient in its arrangements for the pur poses intended, and is to be located on the land of' — , at (say) Mosgiel- , It shall be known by the. name and style of — ; and it ia agreed by and between tbe parties to these presents, that they will at all times daring the continuance of such Association bear, pay, and discharge, equally between them, all costs of building said factory, and all vents and other outgoings, and for hired help that may be required for the support and management of the said business ; and that all gains, profits, and increase that shall come, grow, or arise, from or by means of the said DUBineßs, Bhall be divided between them, said Asaociation, share and share alike; and all loss that shall happen to them in said joint business, by all commodities or by bad debts or otherwise, Bhall be borne and paid equally between them; and there shall be kept just and true books of account, and entry of the resolu tions and doings of said Association, showing the fame state of operations of the said Associa tion br reason or on account of said business, .and all matters and things whatsoever to tbe said boaineas and management thereof in anywise belonging: which said books Bhall be used in common betweenthe members of said 'Association, so that either of them may have acoesß thereto without interruption or hin- , drance of the other. And it is hereby further agreed that all questions arising as to the way and manner of conducting said business, and as to the person or persons to be employed as helpß by the Association, and all and every matter of interest, of whatever kind or nature, to the Association, •hall always in case of dispute be decided by a majority * vote, which shall be entered on record. And the 1 time for the continuance of aaid Association -or ———of any member thereof, and entry- of any new member, shall, •in case of dispute, be decided in the same way and recorded. REGULATIONS.

1. ; All milk to be received for manufactory must be carefully strained and brought to the factory in a tin can without faucit, pure and iweet.

%. Any milk which by reason of negligence, uncleanlineuß, or otber cause, is not in suitable ' condition, for use, will be rejected if discovered ■before it is let into the vat.

' 3. If any person shall bring milk which has been ' skimmed, watered, or otherwise tampered .with in a manner forbidden by law, thereupon obtaining proof sufficient to convict

the offender, the directors will prosecute such person, and will not compromise or settle only, as he p©yfc%he full penalty of the law and all -deman&Mccruing from his offence4. It shall be the duty of the manufacturer, at least once in each week, to carefully test the - milk from each and every dairy, and in case : he shall find any that has been skimmed or watered, or otherwise in violation of law, shall at once report the same to the directors, and to •no other person, and they will then take such measures ak they think expedient to obtain conclusive proof against the offender. 5. It ifr/necessary that milk should be de- ' livered at the factory before eight o'clock in , the morning of each day, and the manufacturer will not be required to receive it after that time. 6. Each patron may take from the factory his share of whey in proportion each day to the amount of milk delivered the day previous ; the quantity to be regulated by the manufacturer. 7. These regulations shall apply to each director in all respects the Bame as any other parties.

TEEMS : 1- Two and a-half dollars per 1001b (to be det ducted from the receipts of each sale) and one good rennet for each 4001bs of cheese, which ' shall include manufacturing, curing, furnishing, and ordinary expenses, delivering the cheese at the' door of the dry-heuse ready for market. ■ 2. The company will not be responsible for any loss by fire, theft, or other similar cause. 3. It is expressly understood that every person sending milk to the factory will conform to the above rules. *

Usually, a committee or some one person selected from the patrons is chosen as salesman of the cheese and butter, whose duty it ie to make gales at beat prices to be had, to

arrange dividends and to pay over shares to patrons, deduoting, of course, the price per pound for manufacturing, which is made to cover hi], Including the per cent, on cost of bui'ding and fixtures. I have sent the above for insertion, as I am given to understand that some of our country settlers, both North and South, are very willing to support an associated Dairy and Cheese Company, but seem to either lack the information as to how to take the initiative in the matter, or want someone else to move first. Although Mr Brydone has kindly offered to give any so inclined all the informationhelis possessed of — and I am sure he can give them most valuable advice on the matter, from what I heard him Btate at the Me meeting of the Pastoral and Agricultural — Association I send you this, as it may incite some to action, snd may assist them who may not go to the trouble to interview Mr Brydone.

PACKING CHEESE SOR EXPORT.

In my reply to "Cheesemaker," in re the above, I observe I omitted to say that it in moßt desirable that a division ohould be nailed in the oentre of each case, bo that the cheeses may not press on each other in moving them about.
