The plaintiff claimed a declaration that he was entitled to 300 shares in Murray’s, Ltd., and asked for a decree that the defendants should transfer these shares to him. The circumstances of the case were that prior to May, 1915, the plaintiff’ was the holder of shares in both Murray’s, Ltd., and the New Zealand Packing Company, Ltd., the latter being a private company. The defendants were also shareholders in the Packing Company. In 1915 an increase of capital took place in connccI tion with tho Packing Company, and it was arranged that the defendants should transfer their shares in that company to the plaintiff, who gave a I transfer to the defendants of 300 of his Murray.’*, Ltd., shares. Under an agreement between the parties the plaintiff was to have the dividends I from the Murray's, Ltd., shares up to [September 30th, 191 S, and the defendants wore to have tho dividends from the Packing Company’s shares up to the same date, and the defendants wore to have the option of taking the 300‘ Murrays, Ltd., shares in lieu of SCO Packing Company’s shares. In 1010 the Packing Company went into Inpiidaticn. and it was finally dissolved on Anri! 30th, 1917. Consequently tho plain:.ff clamied to bo entitled to the re-transier of his shares in Murray’s, Ltd., ns the Pticking Company’s shares transferred to tho plaintiff wore no longer in existence. Tho defendants objected to this contention, arguing that their original option was not destroyed. His Honour reserved judgment in the case, air M. Myorr. appeared for the plaintiff’, and Mr T.
