To save altering the articles a new company has been formed with a capital of £lO in 200 shares of Is each. Dawson—and any others the board of governors may think fit. The 180 ordinary shares are to be issued to Mr. Major. Tho board of governors is to consist of Mr. Major or his representative and the Bishop of tho Diocese of Auckland as long as any money is owing by the company to Mr. Major or his estato. After tho money has been paid the board is to bo increased to nine by the nddition of a representative of the King's College Old Boys' Association (Incorporated) and six members elected by the shareholders.
