Notice is herby given that an Extraordinary General Meeting of the Broken Hill Proprietary Company, Limited, will be held at the Registered Office of the Company, Equitable Building. Collins-street, Mebourne, on FRIDAY, the 27th day of September, 1912, at 3 o'clock in the afternoon, for the purpose of considering and, if thought fit, passing the subjoined Resolutions as Special Resolutions. And notice Is hereby also given that a further Extraordinary General Meeting of the Company wil be held at the said Registered Office of the Company on MONDAY, the 14th day of October, 1912, at 3 o'clock in the afternoon, when a report will bo presented of the proceedings at the first above-mentioned Meeting to be held on the 27th day of September, 1912, and the subjoined Resolutions will, if pas3ed by the requisite majority at such first above-men-tioned Meeting, be submitted at such further Meeting for confirmation as Special Resolutions. RESOLUTIONS ABOVE REFERRED TO. 1. That . the provisions of the Company's Memorandum of Association with respect to the Company's objects be altered by adding after paragraph "F" in Clause 3of such Memorandum a further paragraph in tho words following, that is to say:— " F.F." The carrying on in all or any of their respective branches all or any of the trades or businesses of iron or steel masters manufacturers smelters or winners or of producers of lead zinc or other metals and the manufacturing or production in connection therewith of any merchantable articles commodities or products. 2. That the capital of the Company be increased by the creation of 540,000 new shares of 8s each. Such new shares shall not be issued otherwise than as fully paid up to Bs. Such shares shall in all respects rank equally with the existing 950,000 fully paid shares of 8s each. 3. That notwithstanding anything con- . tained in Article No. 34 or any other of the Company's Articles the Directors be and hereby are authorised to allot and issue as fully paid up such number of the said new shares to such holders of debentures hereafter to be issued by the Directors and hi exchange for their debentures at such price (not being under par) and generally upon and in accordance with such terms and conditions as may be fixed by the Directors on the issue of the said Debentures or may seem fit to the Directors and that any of the said new shares not so allotted or issued, may be disposed of by the Directors in such manner and at „Buch times and on such terms as the Directors may think most beneficial to the interests of the Company. DEAR SIR OR MADAM, As you are aware, the Company holds from the Government of South Australia certain Mineral Leases over a large and rich Iron Ore Deposit known as the Iron Knob, and comprising about 340 acres. Up to tho present the ore has only been used as a flux—a necessary adjunct to the Company's operations at Port Pirie in connection with lead smelting. Yijnr Directors are now of opinion that an opportune time has arrived for an extension of the. Company's business, and the utilisation of these deposits to the best advantage in other directions, by the manufacture of iron and steel, etc., and the ; general, manager (.Mr. Delnrat) was, there- \ fore, sent to Europe and America in order I to inquire fully into the whole proposition. ! I As a result, the services of an expert of 1 high standing (Mr. David Baker, of Phila- ! delphia, U.S.A.). were secured, and that gentleman has visited Australia, and gone fully into the whole question. His report, confirmed by the general manager, is most favourable as to the results obtainable by the Company embarking upon the industry. Consequently, the Directors desire to obtain the necessary consent of shareholders to the proposed alterations in (.lie Memorandum and Articles of Association, as setout'in the enclosed notice of meetings. This will enable the Directors to make financial arrangements for obtaining additional capital on terms most beneficial for shareholders, and, in connection with any scheme decided upon, shareholders will bo given priority in participation.
