Nos. 221001 to 240000 inclusive, paid un equivalent to the rest of tho allotted shares in such last-mentioned Company, at the date of transfer hereinafter mentioned, and also a sum not exceeding £125 in cash. 2. In the. event of the said resolution being passed, the following further resolution will be proposed, viz.: — That the New Moanataiari Gold Mining Company, Limited, be wound up voluntarily under the provisions of " The Companies Act, 1903," and that Henry Gilflllan, the Younger, of Auckland, aforesaid Company Secretary, 1* hereby appointed Liquidator, for the purposes of such winding up. with power to transfer the licenses, mining •privileges, chattels, icffactsi. and business of this Company (other than its cash, book debts, and books) to the May Queen Gold Mining Company. Limited, and to receive in consideration thereof 25.000 shares in the May Queen Gold Alining Company. Limited, all its mining privileges, licensed holding, and othe: chattels and assets. 7 That the consideration to lie paid for such purchase be a sum not exceeding £125, 'to enable the New Moanataiari Gold Mining Company, Limited, to liquidate its liabilities, and 25.000 ordinary shares in the capital of the May Queen Gold Mining Company, Limited. >.Os '21,001 to 246.000 inclusive, to be allotted credited as paid up on each share to an amount equal to the amount paid up on the ordinary fully contributing 'hares of this Company at the date of the completion of such purchase. 3 Such payment of money and allotment of shares to be made on the New Moanataiari Gold Mining Company, Limited, executing to and in favour of this Compan v a valid title to its mining privilege's, licensed holding, and other chattels and assets.
