: Mining Notices. THE WAIHI CONSOLS GOLD MINING J- COMPANY (NO LIABILITY). Notice is hereby given that by virtue of a Resolution of the Board of Directors an Extraordinary General Meeting of the above Company will be held .on TUESDAY, the 29th day of August, 1899, at the hour of 2.30 o'clock in the afternoon. BUSINESS: To consider and, if approved, to pass Resolutions authorising and empowering the Directors— 1. (A) To sell and dispose of the whole of tho rights, privileges, a«ots, property, and effects of the Company to a company about to be incorporated and registered under the Oompnnies Act, 1882, and to be called the Wailii Consols Gold Mining Company, Limited (hereinafter referred to as " the new Company"), having a nominal capital of £6000, divided into 120,000 shares of one shilling each, upon lie terms and conditions that the shareholders in the Waihi Consols Gold Mining Company. No Liability (hereinafter referred to a« " the old Company") shall have the option and privilege of taking up in lie new Company 100,000 shares in manner following—flritty. in taking up in the new Oompany shares equal to the number whioh they respectively hold in the old Company; and secondly, in taking up tho balance of audi 100,000 shares not so taken up as afonwaid pro rata amongst such shareholders of the old Company as shall have applied for the same, tho shareholders of the old Company taking up all such rwpeotive shares paying therefor one penny per share on application, one penny per share on allotment, ana tho balance of tenpence per share by calls at intervals when required. (B) To sign, seal, execute, and deliver all necessary and proper deeds of assignment or transfer of the Company's assets. 2. To consider and. if so determined, to pass a Resolution rsquiring the Waihi Consols Gold Mining Company (No Liability) to bo wound up voluntarily under the provisions of the Mining Companies Act, 1894, and to determine the course to bo pursued by the Directors for the same purpose, and also the mode of disposal or distribution of any portion of the Company's assets or proporty or any surplus of the Company's property which may remain after tho completion of the winding up, and to give directions and instructions to tho Directors accordingly.
