Notice is hereby Riven that the ORDINARY GENERAL MEETING of the Shareholders of the above Company will be held at the Head Office of the Company, Queen-street, Auckland, on WEDNESDAY, the Stli October, 1890, at eleven o clock in the forenoon. BUSINESS : To receive the Report and Balance-sheet for the year ended August 31st last. To elect two Directors, in place of Robert Clapham Bars tow, Esq., and Thomas Peacock, Esq., who retire, but are eligible, and offer themselves, for re-election. To elect two Auditors, in place of Abraham Boanlman, Esq., and John Waymouth, Esq., who offer themselves for re-e" ction. As soon as such business is concluded, the meeting will resolve itself into an EXTRAORDINARY GENERAL MEETING for the uurnose of considering, and passing, if approved, the following Resolution, which is intended to be proposed to the Meeting That the following Article shall be added to and inserted in the Company's Articles of Association, after Article 37, and shall be called Article 37a. : "37a. The Company may from time to time, "lv, >ecial resolution, reduce its capital. "T; Directors may, on any such special "resolution being passed, apply to the proper " Court and do all things necessary and " expedient to obtain the effect and conflrma"tion thereof." Should the above Resolution be passed, it will be I submitted for continuation, as a Special Resolution, to a SECOND EXTRAORDINARY MEETING, which will be subsequently convened.
