VICKERS AND HULL The above Company is formed for the purpose of acquiring, developing, and subsequently working as a dividend-paying concern, certain payably-auriferous Mining Claims, with Water-races, situate on the Ophir (Blacks) Diggings, in Central Otago. The properties uttered comprehend the following rights and privileges (the property of Messrs. Dennis Kogarty and Bryan Flaunory, of Tinkers): —(1) Special claim of 60 acres, situate in, at, and about tho township of Ophir ; (2) Prospecting Claim of 50 acres, at Poolburn Gorge, on the western slope of l'dackstone I tango ; (if) Water Race and Right, with a grant of 30 Government heads of water (14(H) inches), heading from the Manukorikia River ; (4) Water Race and Kight, with a grant of 26 heads of water (lixxi incite*), rising in the Manuherikia River; (5) together with all Mining Rights, Titles, anil Easements of the Vendors held in connection with the said Privileges. The whole of the Privileges enumerated in the preceding paragraph will be acquired by the Company from the Vendors for tho sum of £1000 sterling, payable as to £1500 in cash, and the balance of £2500 in 5000 shares in the said Company, credited as paid tip to their full nominal value (10s). £000 is to lie paid in cash within four months from the dato of purchase, and £000 from the proceeds of tho sale of gold derived from the properties purchased from the Vendors. Tho Vendors will themselves hold, in addition, 1250 contributing shares in the Company, thus leaving only 13,750 shares to be subscribed by the public. This number is offered at (3d per share on application, and 6d on allotment, tlio balance being called up (as required) in calls not exceeding 3d per share, to he made at intervals of not less than a month. It is not anticipated than more than is will be required to bo called up to place tho Company on a permanent footing in the matter of dividends. Contracts, dated October 30, ISSS, and February 5, 1389, are made between Dennis Fogarty and Bryan Flannery, of Tinkers, miners, of the one part, and John Ahvent Chapman, of Dunedin, sharebroker, of the other part, and a sale will be made to tho Company on the above terms when 10,000 contributing shares shall have been allotted. The Vendors undertake to pay all expenses up to the allotment of shares, except the expenses of and incidental to tho framing of the Memorandum and Articles of Association, and the Registration of the Company. To obviate as far as possible the delay invariably inseparable from the inception of all new mining companies owing to a lack of funds, arrangements have been made with the Colonial Bank for a substantial working overdraft, conditionally on the Bank being protected by the usual security given in such cases ; but it is deemed improbable that any such overdraft will be necessary. Under favourable circumstances, the Company will be prepared to commence operations by the beginning of the month of May at tho very latest; and, with the sanction of the directors, tenders will be invited for cutting the first sections of the head-race so soon as two-thirds of the required capital shall have been subscribed. Contemporaneously therewith, tho First General Meeting of the shareholders will be convened for an early date, to elect permanent directors and other otiicors of the Company, etc. This with a view to obviating and preventing any unnecessary delays. In regard to the management; of the Company, the Board of Directors will hold their sittings in Dunodin, where also tho Legal Manager will reside. A Board of Advico, consisting of three thoroughlyqualified mining exports, will l>e established in tho district, to advise tho directory in Dunedin as to tile best scientific methods of carrying on the works. Applications, accompanied by a deposit of (3d per share, may be forwarded to the Bankers of the Company, to the Secretary, or to the Brokers named above. Prospectuses, with Forms of Application, may be obtained from the Company's Bankers, Brokers, and Solicitor, and at the Head Offices in Dunedin. The Share List will definitely close on THURSDAY, March 2S, 1889, or on a prior date, should the required capital be previously subscribed. As a large number of shares have already been subscribed for, immediate application is necessary, as ill case of a surplus of applications those most promptly lodged will receive the most favourable consideration. No application for less than 50 shares will be received by any of the brokers, or at any of the branches of ho Company's Bank. Any further particulars may be obtained from the Secretary of the Company, from whom also copies of tho Prospectus, with the Experts' Reports attached, win be secured. THE COMPANY'S PROSPECTS. Professor Ulrich, F.G.S., of the Otago University, has reported as follows on the drift-deposits at Ophir and Blacks Nos. 2 and 3:—' 1 cordially agree with Mr. Pyko that these deposit* are. unjustly neglected, and offer excellent chances of rich returns to enterprise ami capital. If an efficient water-supply were brought down from the Upper Manuherikia on to the range above Ophir, it would not only permit tho hydraulic sluicing of all the rather imperfectly-worked drift-terraces above the township, but lead no doubt also to the discovery of other high drift-deposits of equal richness lower down the valley toward Alexandra." In concluding his report on the Claims, Mr. Hilton, C.E., M.E., writes "If tho above scheme (for working) be carried out in its entirety with judgment and ecomomy, I am certain highly-profitable results will accrue to shareholders, as it will completely command the main operations of a large and important mining district, and will also be capable of reducing the working expenses to a minimum by the unlimited and available water supply. I can only characterise the scheme as a most legitimate undertaking, and worthy the earnest attention of both capitaliit and investor." Messrs. John Coffey, William Greenbank, and John McLean, who hold the positions of managers of some of the largest and most lucrative hydraulic mining companies in Central Otago, conclude their report, as under " The scheme is one that lias everything in its favour; and, in our opinion, the present Company will, with good management, such as can be easily obtained, prove one oft he safest a,id most lucrative investments in Central Otago. It has all the elements of um/ualified success, and with care and good judgment the works of the Company will become the most valuable or' their kind in the. district. We have no hesitation whatever in commending the undertaking to the earnest attention of capitalists, investors, and others." From these excerpts, collated from reports supplied by experts of undoubted integrity and experience, it will be seen that the prospects of the Company are, beyond the question of a doubt of the most promising description. Without in any way exaggerating the circumstances, it may with accuracy be observed that the opportunity is one that offers to investors the prospects of almost immediate returns, i and subsequently of remunerative dividends, combined with the certainty that tho Company's scrip will acquire a material value above par as the works approach the final stages of completion and productiveness. On a careful perusal of the reports annexed, investors will at once realise that tho anticipations of the prospectus do not partake of an exuberant character, and are founded on particularly sound bases.
