THAMES VALLEY AND ROTORUA RAILWAY COMPANY.

An extraordinary meeting of this company was Held on Thursday, April 24, at Mr. Bitger'a office, Queen-street. There was .a quorum 'of shareholders in number and value present, and Mr, J. M. Clark was called to the chair. The Secretary read the minutes of the last extraordinary meeting; also the notice convening the present meeting, and the resolution which was to be placed before them for the redaction of the nominal capital of the company. The resolution was as follows That tho capital of the company be reduced from £400,000, divided into 400,000 shares of one pound each, to £300,000, divided into 300,000 shares of one pound each, by cancelling -100,000 shares of one pound each, which are unallotted." The Chairman moved the resolution. He oaid this matter had been referred to at the last general meeting of the company, and it was not Decessary now to refer to it at any length. They were going into the market for money, and it was necessary that they should have no unallotted shares to protect the lenders and prevent the directors from embarking in any unprofitable speculation or branches. A certain number of shares were required, and it was better that that number only should be on the register. Mr. T. Morrin seconded the motion, which was carried unanimously. The Chairman said he might mention, that the Hon. the Premier was to meet the Minister of Public Works in Auckland shortly, and the directors would then endeavour to arrange for the second section of the railway. The shareholders might rest assured that no effort would be spared by the directors.

On Tuesday, April 15, a meeting of the committee of the New Zealand Art Students aaaociation was held in the lecture - room of tho Museum. There wan a good attendance—Mr. G. H. K. Watkins presiding. The minutes of the former meeting were read and confirmed, after which tho hon. Secretary read the report of the proceedings and business done during the last three months. Letters had been sent to various ladies and gentlemen, who, it was anticipated, might take an interest in the association, requesting them to becomo members, and most flattering answers had bean received. -Tho lecture by Judge Fenton on the 27th and 28th February, was also noticed in the report. The Board of Education had been communicated with for the pnrpose of getting tho prize list and rules for junior students circulated among the pupils attending the Government schools. The Board approved of the application, and in reply to their request 3000 copies of the junior prize list, &c., were printed and handed to them for distribution. The report was adopted. A vote of thanks was passed to Judgo Fenton for his lecture in thfc Choral HalL On the motion of Mr. G. N. Sturtevant, seconded by Mies K. Hidings, Mr. A. Sharpe was elected a member of committee in the place of Mr. T. Mahoney, now oil a visit to England. The President submitted a design for the medals of the association, and explained its general meaning. The annual meeting of the Onehunga Benevolent Society was held on Monday evening. The Mayor, Dr. Scott, was elected Chairman. The Secretary, Mrs. Hutchison, read the report, which contained particulars of the relief afforded. The Treasurer's report gave the income from subscriptions, interest on a bequest, and Government subsidy, at £87, and £79 had been expended in relief. There had been no epidemics during the year to causa an extra drain on the funds. The outgoing officers and the committee were re-elected with some additions.—[Own Correspondent.]
