Great Death Scene. > Meetings. : fTIAIRUA GOLD MINING COMPANY : A (LIMITED). 1 An Extraordinary Meeting of Shareholders of the 1 Tairua Gold \lining Company (Limited), will be held at the Company's Office, Bank Buildings, . street, Auckland, THIS DAY (Tuesday), the 2Sth March, IS7O, at two o'clock in the afternoon. The business to be transacted at such meeting is as i follows :— 1. To consider the advisability of. and if approved, to pass a special resolution requiring the Company to be wound-up voluntarily. 2. To appoint Liquidators for the purpose of winding-lip the affairs of the Company, and distributing the property. 3. To authorise such Liquidators to sell the property and debts dne to the Company to the "Tairua Prospectors Gold Mining Company (Limited)," on the following terms, or on such other terms as ihe meeting may determine, viz:— - A. All the debts and liabilities of the Com- . pany to be paid by the Tairua Prospectors Gold Mining Company (Limited). B. The Tairua Prospectors Gold Mining Company (Limited) to allot to the Liquidators, or as they may direct, as many paid-up shares, and as many contributing shares in thet Company as there are shares allotted in the Tairua Gold Mining Company (Limited), such contributing shares to be subject in allotment to a payment of Sixpence per share. 4. To authorise such Liquidators to distribute . ' such shares among tho Shareholders of the other manner as the meeting may determine, viz:— -One, paid-tip share and one contributing share in the Tairua Prospectors Gold Mining Company (Limited) for every one share held in the Company, such paid-up shares not to be given to Shareholders until all moneys duo to the Company have been paid by the respective Shareholders. Shares not taken up by Shareholders on the day fixed by the Liquidators, shall be sold by the Liquidators, by public auction, and the proceeds divided among Shareholders who have not taken up their shares.
