The New Zealand Loan and Mercantile Agenoy Company's readjustment is on the following lines :— Prior lien deben. turoa to remain untouched ; "A" debentures to receive 10 per oent of present) stock in new 4 per cent debentures on 40 per oent ot whloh in. terest is a fixed charge; 10.0 GO preference £1 shares are to be issued to trustees, who will lsane against these 1,000,000 certificates, of wbioh 30 per cent can go to "A " and "B * debenture holders, one oerlifioate to every ordinary folly paid up share and one for every two prefereDco shares. The scheme reduces the fixed yearly interest on debentures from £145,000 to £104,000, and oaneels £2,500,000 worth of debentures and shares to provide deficiencies and readjust the capital account. Hereafter tbe capital amounts to £3,311,320, the paid-up shares capital being written down to £138,375.

The uncalled capital remains liable to a call, bnt the directors ore of opinion that tho scheme removes all possibility of a oall.
