richest alluvial lands in the district, but capital is not now necessarily required to be raised for this undertaking. 6. The capital of the Company will cc £75,000 in 1500 shares of £50 each. Five pounds per share on application, and five pounds on allotment. The further sum of twenty-five pounds per share will toe called up as follows :— Ten pounds in six months, five pounds in twelve months, five pounds in eighteen months, and five pounds m twenty-four months from date of allotment. It is not thought that any further calls will be necessary unless the company should decide to acquire the 3000 additional acres now offered. 7 The cost of purchase of the Clive Grange ' Estate, with stock, Ac, is shown in the annexed statement as £66,000, payable in the manner there mentioned. 8. It is not intended to offer any of the Company's lands for sale until the bridge is available for traffic, say within two years, and in the meantime the Estate will be managed for sheep and agricultural farming, as it is at present, but for the benefit of shareholders. Ajid as the HvestockupontheEstate may beconsidered as about the best in the flawkes Bay district, it is anticipated that the Estate will return seven and a-half per cent, nett per annum on the cost. Immediately before the land sale the stock and plant will be sold and this portion of the undertaking closed. 9 The first Land Sale will be held as soon as possible after the bridge is open for traffic, when rural or farming allotments will be submitted for sale. It is not •nroposed to sell much of the town or suburban lands until the wharf is available for shipping ; but this will be a matter for the special consideration of shareholders. It is confidently expected that withm two years from the commencement of the Oomnanv the proceeds of saJ.es of stock and rural lands will be sufficient to discharge all liabilities accrued up to that date, and will aIBO enable the directors to refund to the shareholders £15 on every rtare (see proeressive statement appended). And it is believed that within three years from the commencement of the Company it will be in the power of the directors out o proceeds of sales to refund to the shareholders the remaining £20 per share leaving as interest and profit to the shareholders the greater portion of the town,.Ruburban, and hill lands, and the railway Ene, properties that at the lowest present eutiraate would be £130 000 in value. This estimate is arrived at from the fact that the valuation (as per annexed statement) of the 30Q0 acres of rural land is f ully 25 per cent, below the present value of similar lands on the north bank of the Tuki Tuki river, which are now capable of fattening 1J to 2 bultocka per acre, or of carrying sheep in proportion. The promoters of this Company feel assured that no safer or more lucrative investment than that now submitted for consideration has ever been offered in the Colony. No difficulties of any moment can attend the completion of the project, and the great comMCTcial value and importance of the works proposed to be inaugurated in connection with this enterprise may well bethought to iustify the anticipated success of the scheme that has been briefly sketched in this Prospectus. The Share List will be open till 26th May, 1879, and applications bearing post-mark of that date within the Colony will be considered on allocation. GRIFFITHS Has received instructions to sell by Public Auction, at his Booms, Blenheim, on Thuksday, the 15th day of May, 1879, at 2 o'clock, p.m., ALL that valuable Estate, known as the UPTON FELLS and UPTON DOWNS, the property of H. H. Staffoud, Esq., situated in the luxuriant valley of the Awatere, County of Marlborough, New Zealand, and distant about 25 miles from Blenheim, together with 20,000 (more or less) well-bred Merino Sheep of mixed ages and sexes, in good condition, horses, plant, and usual sundries for working the station. The above runs contain an area of 49,750 acres, and are generally regarded as forming one of the finest estates in the Middle Island. The leases are held under "The Marlborough Waste Lands Act, 1867, Amendment Act, 1874, "and have 18 years to run. The properties (with the exception of about five miles, where natural boundaries exist) are completely and substantially fenced iv with a good seven-wire fence. There is also a sub-dividing fence, and a number of smaller paddocks, in all fifty miles of fencing. The Awatere river forms a natural boundary to the northern portion of the run, which is abundantly watered by that Plaxbourne, the Medway, the Ure, £and other streams. The improvements consist at the§ Head Station of a substantial seven-roomed house with good garden and plantation of trees, a first - class wool - shed with convenience for 12 shearers and 800 sheep, fine stable and cart sheds, four cottages, store rooma, &c, Ac, 13jwell grassed paddocks, sheep yards, dipj^and every convenience. Shepherd's quarters, Musterar's whares, and yards also on the run. The Auctioneer would specially direct the attention of buyers to the central position of this estate, its proximity to Blenheim, the principal town in the district from whence wool is shipped, and the facilities which exist for the easy transit of produce. The Runs have lately been understocked, and are capable of carrying 30,000 sheep, in their present condition, while owing to the richness of the land, and the opea nature of the country a speedy return for further improvements is assured. . The manager has been directed to afford facilities to capitalists wishing to inspect the runs.
