By the influence which will be brought to bear "by Boards of Direction and shareholding bodies in each Colony, the Company will secure, both through their English Branch and the respective Colonial Offices and Foreign Branches, the premiums nowpaid to Foreign Companies. The establishment in each Colony will practically be a Separate Local 'Offiqp, having the management of its own affairs, controlled by a Directory nominated and elected by the local shareholders. The Capital, and other funds in each place, will be invested, as far a,s practicable, in local securities, thus keeping on the spot adequate means of pronrptly meeting all liabilities and claims, and providing for payments at difierent ports of discharge, while the total Capital of the Company will be liable for each transaction, and reciprocal • interests will obtain a large amount of support.to each of the various offices. At' the same time, by a- combination of results, a more favourable average is secured, and much greater certainty of proiits will ensue. An- ordinary General Meeting of Proprietors will be held half-yearly at each offl.ee for the election of Directors and Auditors, the reception of the Report of the Local Directors, and other general, business. The Directors of each Office -will - elect their Chairman and Vice-Chairman (both of whom will be ex-oflicio members of rthe General Court of Directors), Secretary, and other officers for conduct of the local business.
