Extraordinary General Meeting of The National Mutual Life Association of Australasia Limited will be held at the Registered Office of Mi© Association, 395 Collina Street, Melbourne, Victoria, Australia, on Tuesday, the 24th day: of February,, 1942. at 2.15 o'clock In the afternoon for'the purpose of considering and If thought fit passing the following resolutioas aa special resolutions, namely:— RESOLUTION. "THAT the provisions of the Memorandum of Association of the Association with res;iect to this Association's objects bo altered as follows :— "The' following clause shall be added to Clause 1 of the aaid objects:— "And In conjunction with or aa incidental to the granting v of assurances m aforesaid to undertake the payment of any sum or sums of money on or after any , future date or dates certain or ascertainable or on or after the happening of any contingency of death from a denned cause survival marriage birth failure of issue attainment, ol an age accident injury disease illness or disability: "The following clauses shall be inserted after Clause 4 of the said objects:— "5. To undertake accident Insurance business and to issue policies undertaking the payment of any cum or' sums of money upon or after the death or disability (absolute or partial), of any person or persons directly or indirectly attributable to accident misadventure violence Illness or disease: "6. To contract with leaseholders borrowers lenders annuitants and others for the establishment accumulation provision and payment of sinking funds redemption funds depredation funds renewal funds endowment funds and any other special fund*s for euch consideration and on such terms and conditions as may be arranged: "7. To grant reassurance of any assurances annuities endowments or contracts of the nature aforesaid granted or undertaken by any other Assurance Company: "8. To obtain from any other Assurance Company reassurance of the whole or part of any risks undertaken by the Company: "9. To undertake and execute any trusts In relation to any of the objects of the Company and in particular In relation to any policies granted by the Company or to any moneys payable thereunder: "Clauses 5 and 6 of the Raid objects shall be renumbered 10 and 11 and Clause 7 6hall be renumbered 12 and the following clauses shall be inserted immediately following it: — "13. Copies of the Memorandum of Associatloi as it will be affected by the proposed Kesolution and of the proposed new Articles of Association which will be submitted to the Meeting exhibited in « form in which they can be readily compared with Ihe existing Articles are availabls for inspection by any policy-holder or by his properly nuthorised representative at the Registered Office and at each of the Principal Offices, Branch Offices, District Offices, and Principal Agencies of the Association. By Order of the Board, J. T. CAMPBELL, . General Manaf«r. TUB FOLLOWING INFORMATION IS FUENISHED TO EXPLAIN THE REASONS FOR HIE PROPOSED ALTERATIONS. The Memorandum of Association was drawn up 72 years ago when the Association was established and has remained unaltered. The present Articles of Association arc those adopted by the members in the year 1883 with minor alterations. During the long period since the Memorandum and Articles were framed many and important changes have occurred in financial and economic conditions, in life assurance practice, and In the laws governing the business of life assurance, and in consequence both Memorandum and Articles are now out of date and urgently require amendment. Restricted by the narrow limits of the original Memorandum and hampered by Articles unsuited to the present circumstances of ' the Association tho Directors and Management experience continual and increasing difficulty in conducting its business to the best advantages of policy-holders. The purposes of the alterations of the Memorandum are mainly to enlarge the scope of the business of the Association so as to enable it to serve its policy-holders and their dependants more completely in connection with their assurances, to enlarge the field of Investment for tho Association's funds, to remove doubts regarding the powers, and to enable the powers to be brought into accord with the requirements of law. The new Articles of Association which it is proposed to substitute for the present Articles follow the original Articles as far as practicable and are designed to facilitate the Internal administration of the Association's affairs by bringing the machinery of administration and management into accord with modern legislation and life assurance practice and the circumstances of the Association's business, The alterations in the Memorandum of Association cannot become effective until confirmed by the Supremo Court of the State of Victoria which has a discretion to confirm the alterations' either wholly or In part and on such terms and conditions as it thinks fit. In exercising this discretion the Court has regard to the rights and Interests of the members, non-participating policy-holders, and creditors.
