LADIES AND GENTLEMEN,— After the statement made by Mr. Macdonald at the annual meeting of the shareholders of the abovo Company, with regard to my having sold wool to the Company, thus infringing the Articles of Association, I folt it my duty to resign my position as a Director and place myself in the hands of the shareholders. I admit I sold wool to the Company, which, under the Articles of Association, I was perfectly justified in doing, provided a written authority hod been given signed by two Directors and the Secretary. This authority, by an oversight, had been overlooked, although tho Board of Directors had authorised the purchase of the wool, and the authority had actually been made out, but, unfortunately, had not received the signatures of tho tito directors; and thus, through no fault of mine, my seat has been forfeited. I am again a candidate ior a seat on the Board, which position I have held for the last nine years, aud during that time have devoted a great deal of time and attention to the affairs of the Company, and may therefore claim some small amount of the credit, which Mr. Macdonald takes wholly to himself, ior having brought the Company to its present prosperous and satisfactory position I am, Ladies and Gentlemen, Your obedient servant, W.
