He had an idea of doing so before ho took to literature, but was dissuaded. But his euooesa here as Baron Hattfoldt has revived his ambition to make a name for himsolf as an actor < and he considers the experience of practical details which he will gain will serve him in good stead in the writing of dramas in whioh he himself will oreate parts. 1 An Important Judgment. 1 » j IBy Telecjbaph.l ' [UNITED PEKBB ASSOCIATION.] Dunedin, 11th July. I A judgment of importance to company 1 promoters and shareholders was delivered I by Mr. Justice Williams to-day in Chambers, ■ the case being 1 a summons to remove the " name of J. R. Clements from a list of share1 holders of the Nenthorn Consolidated Company. The facts were that Mr. Norman, the 1 legal manager, was employed to float the ' shares, for which ho was to receive .£375 ' and pay all expenses himself. He inserted in the Daily Times what purported r to be a prospeotm of the company. If 1 a person took shares on the faith of the material representations contained in 1 this prospectus, and such representation 1 turned out to bo untrue, clearly, his 1 Honour said, the person who was misled 1 had a right to rescind the contract. Norman, [ was an agent of the company, and if he in- ' duced persons to take shares by represents- ' tions which were in fact untrue, the company ' could not take advantage of bis misstatements and hold persons to their bargains. ' The prospeotus issued in the Times stated > explicitly that the sum of £2000 oapital to [ be called up was to be devoted solely to the p exploitation of the company's claims, and no f one reading it could for a moment conclude ' that J8375 was to be paid to Norman. The ' payment was, in fact, promotion money, and ' the prospeotus stated no promotion money was to be paid. The question then was > whether anything had happened to deprive ' Clements of his right to resoind. His Hononr 9 Baid it appeared that since Clements had | known about the X 375 ho had paid two calls. ' Promptitude was especially neoessary in ' raining ventures, where values are sabjcot to Btidden and great fluctuations. Tn the pre- ' sent case he thought Clements was too late.
' POSTPONEMENT OF THE RACEB. A meeting of the stewards of the Welling' ton Racing Club was h»ld this morning at 9 o'clock, when, in consequence of the in- > clemency of the weather, it was decided to postpone the Steeplechase Meeting, whioh , was to have been held to-day, until Monday next.
