PROSPECTUS OF THE NAPIER CO-OPERATIVE MEAT SUPPLY COMPANY,- LIMITED

CAPITAL £13,000 In 15,000 Shares of £1 each (3000 Shares to be retained for future allotment), To be paid as follows, viz.: — Five Shillings on application, Five Shillings on allotment, and the balance (if required) by calls of Two Shillings and Sixpence each, not less than three months' notice to be given of any such call. The object of the Company is to acquire and amalgamate the old-established Businesses carried on by Mr Joh« i Higsins and Messrs'Conroy α^d , C 0 ,.! and the Napier Mea#Co. as Butchers ■ These include their extensive hotel, i family, and shipping connections. The Company will take over all the shipping and other contracts now held by these firms, also such of their leasehold lands, including all necessary business premises-, paddocks, and the fully-equipped boilingdown es'ablishment at Clive, as may be considered , expedient, as well as their carts, drays, horses, and complete trade requirements, a schedule of which may inspected at-the Brokers' Offices. It ie not proposed to take over Book Debts. The profits hitherto earned by the-above-mentioned firms, in the opinion of the Provisional Directors, justify them in anticipating that the Company will realise a net profit of not less than 15 per cent, and it is hoped that by the amalgamation and consequent savingof working; expenses, as well as* by the extension of. business, a much larger profit will resul f in a few years. The Company will be able, by purchasing for cash, to procure | the very best meat in the market, and so j secure permanent popularity for its business. It is proposed that after providing for a dividend of 8 per cent on paidup capital, and for reserve fund, depreciation, and contingencies, a portion of the profits earned by the Company should be distributed amongst Shareholders contributing business,. in proportion to their purchases. This is a plan which has been found to result in similar ventures elsewhere in great advantages to all concerned. Applications for Shares by Napier and Spit residents and the Shipping Companies whioh propose to obtain their meat i-uppiies from this Company will receive first consideration in the allotment of Shares. Mr John Higgins and Mr William Irving of Messrs Conroy and Co. will retain a large interest in the concern, to be taken in fully paid-up Shares, and have agreed to give the Company the advantage of their experience as Working Managers for a period of not less than two years, should the Diiectora so desire. The only contracts entered into by or on behalf of the Company are— 1. Two Agreements, each dated the sixth day of December, 1900, made between William Irving and George WooDHAM-of the one part, and Frederic Wanklyh Williams, on behalf of the Company, of the other part, and ■ 2. Two . Agreements, each dated the sixth day of December, 1900. made between John" Higgins of the one part, and the said Frederic Wanklyn Williams, on behalf of the Company, of the other part. Applications for shares to be made to Msssrs C. B. Hoadley & Co., or the Bank oe New South Wales, Napier, on or before MONDAi, the thirty-first of December, 1900. The Share List, however, may be closed at an earlier date at the discretion of the Provisional Directors. The Forms of Application for Shares may be obtained from Messrs C. B. H'jadley & Co., the Company's Brokers. All Application Money will be returned in lull in the event of no allotment.
