HAWKE'S BAY MEAT EXPORT COMPANY.

_ An ordinary general meeting of sbare- > holders in the above company was held at \ the offices of the Agricultural and Pastoral Society this forenoon. The chair was taken at 11.55 by Captain Russell. Prior to proceeding with the business on the order paper, the Chairman explained that, in consequence of the legal period not having elapsed from the date of the former meeting on November 22nd, when the question of reading the qnaliScation for directorship was first introduced, the extraordinary meeting called for today to confirm the resolution then arrived at could not take place. It was a peculiar position to be placed in, but the directors were not to blame, as they had not the new Acts in their possession until a few days eince. The Chairman also stated that the solicitor to the company had given an opinion on the question of the final settlement of the purchase of the Tomoana works, &c, from Messrs Nelson Bros, and Williams. MrCornford was of opinion that the arrangements made by cable with Mr P. Nelson could not be considered legally tufficient, but as Mr Nelson was now on bis way out from England it was thought better not to suspend operations, and accordingly the directors completed the signing of the necessary documents yesterday, they holding that all the partners were agreeable. Of course Mr Williams and Mr W. Kelson would be held responsible, as members of the firm, <for what was done.

The Chairman intimated that tie Prelection of directors on the old basis / would now be proceeded with. Mr Sntton moved that the election of directors be postponed until an extraordinary general meeting of shareholders shall have taken place for the purpose of confirming the resolution altering the qualification for directorship in accordance with Mr Miller's motion at a former meeting. The extraordinary meetiDg might, he said, be held to-morrow week; [meantime the provisional directors would remain in office, and the working of the company go on as before. The motion was seconded by Mr Moore, but after considerable discussion was lost oa a division, and the election •was proceeded with on the basis laid down in the Articles of Association. Considerable discussion took place with respect to the eligibility or otherwise of certain gentlemen proposed for office, the following being ultimately appointed: — Messrs J. D. Ormond (chairman), Capt. Kuesell, and Messrs J. N. Williams, R.D. D. M'Lean, H. Gaisford, and W. Nelson.
