Error in certificates
PA Wellington The terms of EuroNational Corp, Ltd’s offer for Pacer Corporation, Ltd, remain unchanged, despite a printing error in options certificates used as part payment for the company, Euro-National said in a statement to the Stock Exchange yesterday.
Clause “K” of the terms and conditions of options on the reverse of the
option certificate said that, in the event of a split or subdivision, the options may be executed at “par value.”
But the correct wording should have been at “part value,” and this was contained in the offer documents filed with the Companies Office on June 26, last year. “The reproduction of the terms of and conditions of the options on the
reverse side of the option certificate is for information purposes only and cannot legally vary the terms of offer as filed by the company in the Companies Office,” the statement said.
The printing error in clause “K” of the terms and conditions of options would be corrected before the issue of any further options certificates, the company said.
