NOTICE IS HEREBY GIVEN tbit by ail Order dated 10th day of September, 1980, made in the above matters the High Court of New Zealand has directed separate meetings of the holders of (i) the Convertible Specified Prefer-, ence shares, and (ii) the Ordinary shares respectively of the above named. Company

(hereinafter called “the Company”) to be convened for the purpose of considering and if thought fit approving (with or without modification) a Scheme of Arrangement proposed to be made between the Company and the holders of its said respective classes of shares and that, such meetings will be held on Friday, the 17th day of October, 1980, at the Old Orchard House. 330 Port Hills Road, Hillsborough, Christchurch, at the respective times below mentioned, namely; ' (if The meeting of the hold- '• ers of- the Convertible Specified Preference Shares, at 11 o’clock in the forenoon; (ii)’ The meeting of the holders of the Ordinary Shares at 11.10 o’clock in the forenoon (or. so soon thereafter as the previous meeting shall have been . concluded).. .

At which place and respective times the said shareholders are requested to attend. Each meeting is to consider and if thought fit pass, with or without modification, the following resolution . in the manner required by. Section 205 (2) of the Companies Act: “That the Scheme of Arrangement dated September 1, 1980. between the Company and the holders of its Convertible Specified Preference shares and the holders of its Ordinary shares, a print of which has been produced to its meeting and for the purpose of identification subscribed by the chairman hereof be approved.”

Any person entitled to attend the said meetings can obtain copies of the Scheme of Arrangement, forms of proxy and the Statement required to be furnished pursuant to Section 206 of the above mentioned Act at the registered office of the said Company situated at 32,Montreal Street. Christchurch, or at its branch offices situated at. 16-13 McKelvie Street, Auckland 1. 12 Walter Street, Wellington 1, or 177 Leith Street. Dunedin 1. The said shareholders may vote in person at such of the said meetings as they are entitled to attend or they may appoint another person whether a member of the Company or not as their proxy to -.attend and -vote in their stead.

In the case of joint holders the vote of the senior who tenders a vote whether in person or by proxy shall be accepted to the exclusion of the votes of the other joint holders and for this purpose seniority shall be determined by the order in which the names stand in the register of members. To be valid, . proxy forms must be deposited at the said registered office of the Company, 32 Montreal Street, Christchurch (P.O. Box 992), not less than forty-eight hours before the time fixed for holding the. particular meeting. ’ ■> By the said Order the Court has appointed Noel Herrick Rudkin or failing him

Road Transport Association Inc., the Secretary for Transport has. by s Decision No. 4248, granted an increase of 6 per cent on all rural and route cartage schedules and 8 per cent on all town cartage rate schedules. The full decision, which has immediate effect, may be inspected at the Ministry of Transport Office in Auckland, Hamilton, Napier. New Plymouth, Wellington, Christchurch, Dunedin, Whangarei, Rotonia, Taiirahga, Wanganui. Gisborne, Palmerston North Masterton, Nelson, Blenheim, Greymouth. Westport Timaru. and Invercargill. Any appeal against this decision must be lodged in accordance with the provisions of Section 167 of the Transport Act, 1962, accompanied by the prescribed fee of $lOO with the Secretary, Transport Charges Appeal Authority, Ministry of Transport, Private Bag, Wellington, on or before October 20, 1980.
