Extraordinary General Meeting of The 1 New Zealand Farmers’ Co-operative Association of Canterbury, Ltd., will be held • in the CHAMBER OB’ COMMERCE HALL, Oxford terrace, Christchurch, on WED- ' NESDAY, the 14th day of OCTOBER. 1953, at 2.15 o’clock in the afternoon, of at ® the conclusion of the Seventy-second * Annual General Meeting of Shareholders whichever is the later when the suba joined Resolution will be proposed as an i ordinary resolution:— “That all the existing Preference Shares of the Company be subdivided in manner following:— (a) Each of the 30,000 allotted First Preference £5 Shares shall be divided into 10 First Preference Shares of 10s each. ’ (b) Each of the 50,000 allotted "A” Pre0 ference £4 Shares shall be divided into 8 “A” Preference Shares of 10s each. (c) Each of the 50,000 “B" Preference £4 Shares, comprising 21,492 allotted 1 shares and 28.508 unallotted shares shall be divided into Preference Shares of IQs each; and the shares be renumbered as and when the Directors shall determine.” AND when the sub-joined Resolution will be proposed as a Special Resolution:— ) That the Articles of Association be _ altered in manner following.— ARTICLE 3 shall be amended by the 5 deletion of lines 3, 4 and 5 therefrom and the substitution therefor of the following; 300,000 First Preference Shares of 10s each .. £150,000 400,000 “A” Preference Shares t Of 10s each £200,000 , 400,000 “B” Preference Shares of 10s each .. £200,000 and the deletion therefrom of the figures B “50,000” in sub-paragraph (c) thereof and the substitution therefor of the figures “400.000.”

ARTICLE 60 shall be amended by the deletion therefrom the word “ten" and the substitution therefor of the word “twenty,” and the deletion therefrom of the words “personally holding or representing by proxy not less than onetwentieth of the whole number of the issued shares in the Association.” ARTICLE 70 shall be amended by the deletion therefrom of the words “except for the election of Directors.” ARTICLE 72 shall be deleted and in lieu thereof the following article shall be substituted : “72 At a poll every member present in person or by proxy or Attorney shall be entitled to one vote for each share of which he is the holder.” ARTICLE 80 shall be deleted and in lieu thereof the following article shall be substituted “80 The number of Directors shall not exceed fifteen and none but a member holding two hundred shares or over shall be eligible as a director PROVIDED HOWEVER that upon the death in office removal disqualifiction or resignation of any Director the number of Directors shall be reduced until as a result of vacancies occurring through death In office removal disqualification or resignation not more than seven Directors shall still be in office. From and after the time when the number of Directors shall nave first been so reduced to seven, the number of Directors shall be seven.” ARTICLE 84 (a) shall be amended by the deletion of the word “ten” therefrom and the substitution therefor of the words “two hundred." ARTICLE 88 shall be amended by the deletion therefrom of the words “in the manner hereinafter provided." ARTICLE 91 shall be amended by the deletion therefrom of the words “in general meeting” and the substitution therefor of the words “by special resolution.” ARTICLE 93 shall be amended by the deletion therefrom of the word “retire" and the substitution therefor of the word "resign.” ARTICLES 95, 96, 97, 98, 99, 100 and 103 shall be deleted.
