NOTICE IS HEREBY GIVEN that an Extraordinary General Meeting of The National Mutual Life Association of Australasia Limited will be held at the Registered Office of the Association at 395 Collins Street, Melbourne. Victoria, Australia, on Tuesday, the 15th day of November. 1949. at two-fifteen o’clock in the afternoon for the purpose of considering and, if thought fit, passing the following Resolution as a Special Resolution, namely:— •‘That the provisions of the Memorandum of Association of the Company with respect to the objects of the Company be altered by amending Clause ]1 of he Memorandum of Association as follows:

or by statute or any corporation company board or trust providing any public utility including any railway shipping canal dock harbour gas water electric light or power telegraph telephone wireless transport or grain elevator corporation or company.

Any first mortgage debenture or any fully paid preference or ordinary stock or shares of any trading company which has a paid-up capital of not less than £200.000 and which has in respect of each of the five years immediately prior to the date of investment paid a dividend at the rate of at least 4 per cent, upon its ordinary stock or shares.

Ey inserting the following paragraph between paragraphs 17 and 18 thereof: —“17A. .To promote or assist in the promotion of any company for any purpose calculated to benefit the Company either directly or indirectly and to subscribe for shares in and to lend money to and to enter into .arrangements with and to guarantee the performance of the obligations of any such company.”

Any form ot investment in which any other Life Assurance Company amalgamated with or bought up or absorbed by the Company has its funds invested at the time of such amalgamation buying up or absorption.” 2. Copies of the Memorandum of Association as it will be affected by the proposed Resolution in a form in which it can be readily compared with the existing Memorandum are available for inspection by any policyholder. or his properly authorised representative, at the Registered Office and at each of the Principal Offices of the Association. 3. Proxy forms for the use of members (participating policy-holders) who desire to vote at the meeting of the Association are available at the Registered Office and at each of the Principal Offices of the Association. Completed proxy forms may be sent direct to the Registered Office or to any Principal Office of the Association. If sent to any Principal Office they will be forwarded by the Association to the Registered Office 4. Any policy-holder who desires further information about the alterations proposed and the extent to which their adoption would extend the Association's powers of investment is invited to communicate with the Association at its Registered Office or at any of its Principal Offices. 5. Any holder of a non-participating policy who desires to do so is invited to forward any observations which he cares to make upon the proposed alterations of the Memorandum to the Registered Office or to any Principal Office of the Association. 3. By adding the following paragraph at the end thereof: “19. It is hereby declared that the word “company” in this clause be deemed to include any partnership or other body of persons whether corporate or not and that the objects specified in each paragraph and sub-paragraph of this clause shall be in no wise limited or restricted by reference to or inference from the terms of any other paragraph” Dated, the 13th day of September, 1949.
