BRITISH AND FOREIGN SAILORS' SOCIETY. Mr Ronald S. Badger, hon. secretary of the Lyttelton Branch of the: British ahd Foreign Sailors' Society, writes in connexion with the special meeting of the Lyttelton Ladies' Guild of the Society, held on Tuesday night, enclosing the following •correspondence : August Oth, 1921'. Mm Todd (or Convener), Ladies Guild in Meeting, Lyttelton. Dear Madam,—Our attention has been called to the fact that you are convening a Ladies' ' Guild meeting in Lyttelton to-night over the heads ol your officers. We understand that the main object of you? meetiaj. '• 5° endeavour to pass a no-confldence motion in your president. I am instructed to point oujt that your constitution provides thai meetings shall be held monthly or quarterly, and your ordinary meetin| this month has •already been "held. Hence your meetiflf called in such a manner is ouite out of ordec. According to a motion proposed by tie Bar. J. Bates some yoaie ago, it was resolved that no epecial busino's bo taken except at » month's notice, so that such a motion must be duly notified. Our own Board permitted an important amendment to be considertd recently without notice, but as this waa an amendment, not a motion, it forms no precedent for a Guild. I havo therefor* to inform you that if your object is as atoUd, any resolution of that kind passed will bo inoperative for the following reasons:—(a) There has been no good reason shown tor aa alteration in your officials prior to your annual meeting which is held in February. (b) That the Board reserves the right t<> veto any activities of any Guild, and would undoubtedly veto ouch an unwarranted action, (c) Assuming that good ground for making a change exists, then the msetfa* must be called in a properly ecmsntnted manner by the secretary after etas notieo has been given at the previous a?™ 1 "!' meeting or not less than 14 days gr«J» » the. secretary prior to the next ordmsrj meeting, the business being stated in »n> , ing to =, each member. In coiHtfttston, w* would just point out that it is quit* outside the province of any Guild to p»«* »ny ao* lion interfering with or reflecting oa tw rukriagement of the Board, which they ars elected toassist. If any members tan **e*ption to the conduct of the Society it is quite optional upon them to resign.—Bsubts me; yours truly, Ronald S. Badger, hon. sec"August 10th, 1921. Mn* Helen Murray-, West Lyttelton. Dear MadVun.—l am «at receipt of your note of the Oth advising na that Mrs Miller i« no longer president of the Lyttelton Ladies' Guild, and staling that-Mrs Lester has been appointed in her place. I am instructed, however, to point out, on behalf of the executive officers, that the meoiing you refer to was an entirely unconstitutional one. Noticing that a masting was taking place we consulted our sciitttor* in regard to it, and sent Mrs Todd a letter to this effect. As, therefore, we most bo guided by our solicitors' advice, I am instructed, to state that we cannot "efg™* the proposed change and hencs no oBcM invitation can be extended to Mm Lester U% our forthcoming meeting, •• the whoj* w» grettable proceedings are entirely unconstitutional.—Yours faithfully, Ronald 8. Badger, hon. secretary.
