Bruce Coal Company.
The adjourned general meeting of Bhareholders in the Bruce Coal Company was held on Tuesday evening last in the Council Chambers, at 6 o'clock. Mr Alfred Jones fcccupied the chair. The minutes of last meeting were read and confirmed, after which Mr J. Mackay handed in the following protest :— Milton, 21st July, 1874. I, the undersigned, Joseph Mackay, a shareholder in the Bruce Company, hereby formally protest against the election of Messrs Jameß Goodall and Charles Falconer as Directors of the Bruce Coal Company, upon the grounds urged by ine on the occasion of their election to that office on the 21st June last, yiz. — that these gentlemen did not posse»s the necessary number of shares to entitle them to become shareholders. — JosbpH Mackay. Mr Mackay urged, in support of hia protest, that there was no Register of at& " holders, and the allotment book did not ■hew that Mewr* Goodali and Fatooner were
the holders of a sufficient number of shares to entitle them to be elected Directors. The Secretary read what he called deeds of transfer to Messrs Goodall and Falconer, bringing up, as he alleged, their shares to a quantity to qualify them to become Directors. Mr Mackay pointed out that under the clause of the Act' no share had as yet been legally transferred. Mr M'Gill proposed, Mr Falconer seconded, and it was resolved that the business of the meeting should be proceeded with. The Secretary then read the rules of the Company, which were passed, and ordered to be printed, and sold at Is 6d each. Messrs Marshall and Witchell were elected Auditors. Mr Henderson was elected Legal Man ager . The meeting then terminated by a vote of thanks to the Chairman.
