Notice is hereby given that an Extraordinary General Meeting of-The abovenamed Company will be held ou TUESDAY, the 29th day of October, 1907, at two o'clock in the afternoon, at the office of the Company, Nos. 11 and 12, New Zealand Insurance Buildings, Queen-street. Auckland. New Zealand, for the purpose of considering, and if thought fit, of passing the following resolutions, i.e., to say: — 1. That it is desirable to. reconstruct the Company, and accordingly that Lhc Company be wound up voluntarily, and that Joseph Bernard Sheath bo, and he is hereby appointed liquidator for the purposes of such-winding ud (such Company being herein termed the old Company). 2. That the said Liquidator be, and he is hereby authorised, to consent to the Incorporation of a new Company to be'named the Saxon Gold Mining Company, Limited, -with a Memoraudum and Articles of Association to Be mutually agreed upon between the present Directors of the old Company and the said Liquidator, but inter alia subject to . the terms and conditions herein mentioned. 3. That the new Company be incorporated with a nominal capital of £17,500 divided into 100,000 shares of 3/6 each, all such shares being credited as paid up at 1/ each. 4. That snch 100,000 shares paid up to 1/ each shall be received by the ssiid Liquidator, as compensation for the transfer or sale by the old Company to the new Company as in the fifth paragraph herein mentioned for distribution by him among the shareholders -of the old Company who shall apply for the same, and on the basis of one share for every share held by such shareholders resnectively in the Old Company. 5. That in the Memorandum of Association of the new Company it shall oe provided inter alia that the Directors of the new Company on behaTf of the new Company shall have power to acquire mining properties in the Haurakl Mining District of New Zealand. 6. That the Directors of the new Company shall not b« more than seven •nor less than five, and that the Directors of the old Company shall be the first Directors of the new Company; and tnat the first Secretary of the - new Company shall be Joseph Bernard Sheath. 7. Calls in the new Company shall not exceed 2d per share per calendar month. 8. That the Liquidator is hereby authorised and empowered to transfer and 'assign to such new Company all and singular the mining properties licenses, machinery, goods, chattels! moneys, effects, and privileges of the old Company. 9. T&at the old Company shall pay satisfy, and discharge all Its debts liabilities, and obligations. ' 10. The Liquidator is hereby authorised and empowered to join with all necessary parties and to enter into all agreements, deeds, and writings necessary to carry these resolutions (If passed) into effect.
