As soon as such business is concluded the Meeting will resolve itself into an Extraordinary General Meeting for the purpose of considering and. if approved, of passing the following Three Resolutions which are intpuded to be proposp*! at the Meeting as separate and distinct Resolutions:— RESOLUTION No. 1. (a) "That of the Authorised Capital of the Company there shall be disposed of in manner hereinafter specified tho sharps in the said Company un-issued amounting to 30,3T2. (b) "Eaoh Shareholder whoßs name shafl appear on the Company's Register on the 12tTi day of October. :9Ot, shall be entitled to have issued to him one Share for every two shares held by him on that date. That the shares so issued numbering in all 32.314 shall each be credited with £1 paid up apd the Profit and Loss Account shall be debited with the sum of £32,314. (c) "Any Shareholder who holds less than two shares or whose holdins does not form a multiple of two shall on payment of £2 be entitled to have issued to him one of the unallotted sh.irps paid up to £1. The sum of £2 received for such share shall be disposed of by placing £1 to the credit of the paid-up Capital Account and £1 to the credit of th« Reserve Fund Account: or, in lieu of one such share, the Shareholder may at his option receive from the Company the sum of £2 in money, which sum shall be debited to ttie Profit and s Loss Account, provided always that either option shall b" exjercised on or before the 30th January, 1903. (d) "Any of the said Shares not disposed of as above shall be disposed of by the Directors, who shall invite tendprs for the same from the Shareholders subject to such conditions as they may think fit. and the shares shall be allotted to the Shareholders who offer the hijrhest price for the same, ami the premium received therefor shall be placed to the credit of the Reserve Fund Account. (c) "All the aforesaid unissued shares. when issued in the manner hereinbefore eet forth, shall rank par■l'i passu with the existing shares, and shall participate equally in all future Dividends of the Company. (f) "Any authority heretofore given to the Directors by the said Company as to the disposal of the said unlssned shares not hitherto acted upon is hereby cancelled.'" RESOLUTION No. 2. "That Article 20 of the Articles of Association of the Compamy be cancelled.'" RESOLUTION No. 3. "That Article 91 of the Articles of Association of the said Companjshall be nltered by striking out and cancelling the words 'of not exceeding twenty pounds per centum per annum' between the word ■dividend' and the word 'upon' in the said Article." Should the above Resolutions or any of them be passed by the required majority, each Resolntion so passed will be submitted for confirmation as a Special Resolntion to a second Extraordinary Meeting, which will be subsequently convened. The Transfer Books of the above Company will be Closed from the 29th day of September, 1904, to the 12th day of October, 1004, inclusive. Dated (it Auckland this Oth day of September, 1904.
