(C) That the Directors of the Company be and they are hereby authorised and empowered to do all such things and execute all such deeds, assurances and documents which in the opinion of the Directors may be necessary or expedient for the purpose of giving effect to the foregoing Resolutions, or either of them or any portion of them, and for such purposes or any of them to use and affix the seal of the Company. (D) For the purpose of carrying out and giving effect to the foregoing Resolutions or any of them, the Directors of the Company shall have full power to appoint by deed an Attorney or Attorneys in New Zealand or elsewhere to act on their behalf and carry out the foregoing Resolutions or any of them, and the Directors shall have full power to delegate to the said Attorney or Attorneys all the powers and authorities of them, the Directors, in relation to the matters and things referred to in the foregoing Resolutions, whether such powers are conferred upon the Directors by such Resolutions or otherwise.
